Job Title: Senior Legal Counsel

Caseware International is a leading provider of audit and accounting software, with a global presence and a reputation for excellence. We are seeking a highly skilled and experienced Senior Legal Counsel to join our team.

The successful candidate will be responsible for providing legal advice and guidance to our business, with a focus on risk mitigation, contract management, and regulatory compliance. This is a key role within our organization, and the right candidate will have the opportunity to make a significant impact on our business.

Key Responsibilities:

  • Provide legal advice and guidance to our business, with a focus on risk mitigation, contract management, and regulatory compliance.
  • Develop and implement legal strategies to support our business objectives.
  • Manage and maintain our contract portfolio, ensuring that all contracts are up-to-date and compliant with relevant laws and regulations.
  • Provide training and support to our employees on legal matters, including contract management and regulatory compliance.
  • Collaborate with our business teams to identify and mitigate legal risks.
  • Develop and maintain relationships with external counsel and other stakeholders.
  • Stay up-to-date with changes in relevant laws and regulations, and provide advice and guidance to our business on how to comply.

Qualifications:

  • Active membership in the Law Society of Ontario.
  • Minimum of 7+ years of relevant legal experience in a law firm or in-house at a technology company.
  • Strong leadership skills with business acumen.
  • Experience managing and scaling a legal team in a fast-growth SaaS company.
  • Significant experience drafting, reviewing, and negotiating commercial contracts for on-premise software and SaaS services.
  • Working knowledge of employment law and corporate governance for international entities.
  • Ability to mentor Legal Team members and take ownership of projects and initiatives.
  • Expertise in data protection laws (CCPA, GDPR, UK Data Protection Act).
  • Experience with M&A, legal due diligence, and communicating with Board Members and Investors.
  • Familiarity with contract management software, trademark and patent processes, distribution channels, and international PeopleOps issues.
