Responsibilities

1. Provides legal advice on a range of corporate matters such as contracts, negotiations, corporate governance, regulatory compliance, and mergers & acquisitions.
2. Takes the lead in contract negotiations with company clients and vendors.
3. Drafts, reviews, and negotiates contracts and other legal documents related to various business transactions.
4. Oversees a team of commercial contracts managers and administrators.
5. Provides oversight, organization, and governance over the commercial contracting process.
6. Performs due diligence in legal matters concerning contracts, mergers, and acquisitions.
7. Represents the corporation in legal proceedings, if necessary.
8. Advises on compliance matters and ensures the corporation operates within the law.
9. Conducts legal research and analysis on various corporate legal issues.
10. Provides training and guidance to company staff on legal matters.
11. Works closely with management to provide legal advice and risk analysis on business strategies and initiatives.
12. Stays updated on changes in corporate law and new regulatory initiatives and ensures the corporation is in compliance.
13. Manages corporate legal processes and ensures compliance with the law.
14. Manages legal risk in business decisions and operations.

USD $170,000.00/Yr.

Max

USD $221,000.00/Yr.

Qualifications

1. Attorney with 6+ years of commercial/transactional experience in a corporate law department handling sales, partner/vendor, SaaS, and contracts for internal consumption items.
2. Outstanding knowledge of corporate law principles and excellent negotiation skills.
3. Strong communication skills and the ability to work well in a team.
4. Detail-oriented with a critical and analytical approach to problem-solving.
5. Experience with IT products and software sales agreements is preferable.
6. Master's degree - Juris Doctor, law school graduate degree.
7. 6-10 years of working experience.
