**Job Title**: Law Clerk
**Location**: Woodbridge, ON
**Job Type**: Full-time; permanent
**Job Summary**:
**Responsibilities**:
- Preparing and filing articles of incorporation, amendments, and other corporate documents;
- Maintaining corporate minute books and records, including drafting resolutions and meeting minutes;
- Assisting with corporate transactions such as mergers, acquisitions, and reorganizations;
- Conducting due diligence searches and preparing summaries of findings;
- Preparing draft agreements for a lawyer’s review;
- Coordinating with various stakeholders, including lawyers, clients, and regulatory bodies;
- Manage all documentation related to legal transactions, including, but not limited to, due diligence, closing documents, accounts, and reporting letters;
- Address matters relating to corporate/commercial financing such as the review of commitment letters and preparation of security documents;
- Conducting legal research and summarizing findings for the legal team;
- Organizing and maintaining legal files and databases;
- Coordinating and managing deadlines and schedules;
- Providing general support to the legal team as required;
- Additional duties as assigned from time to time
**Requirements**:
- 2+ years of experience in a legal support role (preferred)
- Proficient with MS Office 365 (Word, Excel, Outlook, PowerPoint, Teams)
- Excellent organizational skills; attention to detail, proof reading and accuracy are required
- Ability to manage multiple tasks and deadlines simultaneously
- Excellent communication and interpersonal skills (both written and verbal)
