Reporting to the Chief Executive Officer, this strategic position is the authoritative source on APEX By-laws and Board governance. Providing advice and guidance to the CEO and support to the Chair of the Board of Directors and the committees, this position supports the APEX Governance, including Board of Directors and Board of Director Committees. The role also involved keeping up to date on relevant governance matters, practices and trends, advising the Board and the CEO on any changes where appropriate. The person in this position must have a keen understanding of the APEX Strategic Plan, the direction, and objectives of the Board and of APEX, and is the lead in understanding and ensuring that the support to the Board of Directors is aligned with the strategic direction of APEX.

This role facilitates the governance, conduct, management, and control of APEX by coordinating the exchange of information and decisions between the Board of Directors and APEX. The activity is carried out most visibly through the facilitation of meetings of the Board and its Committees. Maintenance of the official record of Board decisions, in the form of resolutions, is a major responsibility.

More specifically, this position would include:

- Providing strategic advice to the CEO and the Board of Directors regarding governance and other Board matters
- Performing the role of the Secretariat for the Board of Directors
- Providing assistance and support to the APEX Treasurer and the APEX Audit Committee with respect to the clarification of roles, the coordination and scheduling of audit related meeting and discussions and the preparation of required communication materials.
- Assisting the Chair and the CEO with the orderly induction, transition and orientation of new Board members and acting as a channel of communication and information for Board members.
- Collaborating on and/or leading special projects as defined by the APEX annual objectives, capacity with the Association, and interest and experience of the person who fills this role.

**Workplace**:
As we transition toward the APEX Workplace of the Future, staff are being encouraged to plan on spending more days working in the office for day-to-day operations. New APEX employees will need to commit to 40% in-office presence.

While APEX transitions for employees in the NCR, telework agreements in support of regional inclusion are possible.
