- Overview:

- The Law Clerk will be a member of the legal team at Canerector and will provide support to Canerector and its companies across a variety of areas of law, mainly, corporate, real estate, employment, in-house litigation management, and transactions.
- Responsibilities
- Entity Management and Corporate Governance across Canada and the US, including:

- the incorporation, organization and maintenance of corporations (including the filing of annual returns with government, if and as required)
- Prepare and file business name reservations and registrations
- Review, record and maintain corporate minute books (including the preparation of resolutions, share certificates and other necessary documents as required to maintain corporate compliance and for daily business operations)
- Perform corporate and security searches and registrations (as requested)
- Assist with corporate compliance inquiries
- Complete internal reorganization transactions (asset purchases, mergers, amalgamations, etc.)
- Assist in closing transactions with third parties (asset, share or hybrid deals)
- Assist in preparing meeting agendas, attend meetings, and record minutes
- Assist with administrative procedures such as expense reports/tracking, contracts administration and contact database
- Help track data (including the creation of dashboards)
- Scan, sort, organize and file documents according to established guidelines
- Qualifications
- Law Clerk Diploma
- Bilingual would be an asset
- Experience
- Minimum of 3-5 years of in-house or law firm experience as a corporate law clerk. Experience or exposure to real estate, employment, litigation management, third-party transactions and internal reorganizations would be an asset.
- Experience working with Canadian companies (experience working with US companies would be an asset)
- Exceptional attention to detail
- Strong organizational skills
- Excellent interpersonal, written and verbal skills
- Proficiency in Microsoft Excel, Microsoft Word, Adobe and PowerPoint
- Experience with Entity Management Software (experience with MinuteBox would be an asset)
- Fast learner with the ability to multi-task and prioritize effectively in a fast-paced environment
