**Position Overview**:
Manage and oversee all aspects of contract reviews, editing and negotiations for third-party services to ensure agreements adhere to CIBC Mellon’s standards, policies and risk appetite and supports our operational business needs.

**Responsibilities**:

- Contract Negotiation: Negotiate contract terms and conditions with third parties to achieve favourable outcomes while protecting the interests of the organization.
- Contract Drafting and Review: Draft, review, and revise contracts, including master services agreements, statements of work, license agreements, Parent Services SOWs, and other legal documents, ensuring accuracy, completeness, and compliance with relevant laws and regulations. Ensure all stakeholders have reviewed and provided input into the draft agreement; obtain all appropriate approvals and manage contract signing process.
- Risk Management: Identify and assess potential risks associated with contracts, including legal, financial, operational, and reputational risks, and develop strategies to mitigate these risks effectively.
- Compliance: Ensure that all contracts adhere to company policies, procedures, and standards, as well as applicable laws and regulations, such as PIPEDA, OSFI, and other industry-specific requirements.
- Stakeholder Collaboration: Collaborate with internal stakeholders, such as legal counsel, finance, risk and compliance, information security, business continuity, business units/operations, and project management teams, to address contract-related issues, resolve disputes, and facilitate effective communication throughout the contracting process.
- Contract Management: Support the TPG team in the effective management of contracts throughout their lifecycle.
- Third-Party Due Diligence: Support the onboarding and refresh of the third-party due diligence process.
- Lead and support contract related conflicts, escalation and resolution procedures as assigned.
- Identify opportunities for cost savings, cost avoidance, and improved efficiency. Identify and implement best practices and drive continuous improvements in all areas of the process.
- Continuous Improvement: Continuously evaluate and improve contract management processes, tools, and methodologies to enhance efficiency, effectiveness, and compliance while reducing risk and optimizing outcomes.

**Qualifications**:
Specific Knowledge & Skills (not preferred or an asset)
- Undergraduate degree, ideally in Law or Business
- 5+ years of third-party contracting
- Contract negotiations experience in a technology and/or financial institution
- Ability to effectively prioritize and execute conflicting demands in a high pressure environment
- Excellent analytical, evaluative and problem-solving skills and ability to make sound, logical decisions
