OverviewLEGAL COUNSEL (3+ years’ M&A experience) – Toronto, Kingston, Montreal or Quebec City. This is a legal counsel role with Empire Life Insurance Company, reporting to the Senior Legal Counsel. The successful candidate will provide legal, regulatory and risk management advice primarily related to M&A and financing transactions, IT and commercial third-party contracts, corporate governance of subsidiaries and minority investments, and general corporate and commercial matters. The position may be based at Empire Life’s offices in Toronto, Kingston, Montreal or Quebec City, with the option for working from home part of the time. The total target compensation (TTC) range, including salary and target bonus, is $151,200 - $196,000 for permanent roles. Fixed-term contracts and casual roles are not eligible for an annual bonus and would receive only the pro-rated base salary. Responsibilities Provide legal, regulatory and risk management advice primarily related to M&A and financing transactions. Draft, negotiate and review IT and commercial third-party contracts. Assist with corporate governance of subsidiaries and minority investments. Support general corporate and commercial matters as required; collaborate with cross-functional business teams and external counsel. Work with internal stakeholders to identify legal risks and provide pragmatic solutions. Qualifications Minimum 3 years of M&A experience gained from a financial institution, leading law firm or corporation, ideally within the financial services industry. Familiarity with legal and regulatory issues pertaining to operations of a regulated life and health insurance company is preferred. Knowledge of insurance distribution, and technology and/or IT procurement matters is a plus. Ability to work independently with support from the legal team; strong communication skills and sound judgment. Bilingual English/French language skills are valued.
