As Legal Counsel, you will provide timely legal and business advice on a wide range of issues that can include matters critical to the business. You will be part of a small legal team that serves all areas of the business and works closely with business personnel. Legal Counsel can expect an opportunity to develop a wide range of skills across many areas of law, including franchising, commercial contracting, securities, corporate governance, marketing and advertising, employment, technology and IP matters. Legal Counsel will report to the Sr. Director, Legal (Head of Legal) and work independently with business partners (both within and outside of the organization), as well as with external counsel.

**Responsibilities**:

- Draft, review, negotiate and advise on a wide range of commercial agreements that support Freshii’s business activities, including contracts for the business development (including CPG), franchise development, supply chain, technology and marketing teams.
- Manage and oversee the franchise agreement and disclosure process.
- Act as the first point of contact for various departments across the Freshii business on a broad range of legal issues.
- Draft, review, advise, and provide legal approval on employment contracts, and manage other employment related legal matters.
- As needed, assist managing litigation, dispute resolution, and other legal proceedings (including the initiation, conduct and settlement of proceedings with external counsel).
- Provide legal guidance to ensure Freshii is complying with data and privacy laws (within Canada and internationally).
- Manage and oversee internal policy compliance.
- Manage and maintain various ongoing filings (e.g. TSX, SEDI, SEDAR).

**Key Requirements / Qualifications**:

- Law degree from a recognized university.
- Membership in good standing with the Law Society of Ontario.
- 2-4 years of corporate and commercial (and/or securities) law experience as a lawyer in private practice and/or in-house legal department.
- Intellectual property, franchising and/or food service legal experience are considered assets.

**Core Competencies**:

- Ability to prioritize multiple tasks and meet competing deadlines.
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization.
- Strong negotiating skills with both legal and commercial issues.
- Ability to work independently with little or no supervision while also being team oriented and willing to work collaboratively.
- Self-motivated and innovative.
