Assistant Corporate Secretary & Legal Counsel Trans Mountain Corporation operates Canada’s only pipeline system transporting oil products to the West Coast. We deliver approximately 890,000 barrels of petroleum products each day through a dual pipeline system of more than 1,150 kilometres of pipeline in Alberta, British Columbia and Washington state. Trans Mountain also operates a state‑of‑the‑art loading facility, Westridge Marine Terminal, with three berths providing tidewater access to global markets. Trans Mountain is a federal Crown corporation with over 70 years of experience delivering operational and safety excellence through our crude oil pipeline system. With our expanded pipeline system now in place, Trans Mountain provides enhanced direct access for Canadian crude oil to world markets, supporting economic benefits, marine protection, safety and emergency management capabilities, and skilled‑worker capacity building in communities and Indigenous groups. Reporting to the Assistant General Counsel, Capital Markets & Corporate Secretary, the Assistant Corporate Secretary & Legal Counsel (ACS) will support Trans Mountain’s corporate governance framework. The ACS will interact with the Board of Directors, CEO, and executive leadership, ensuring seamless governance processes and timely communication. The role may step in as proxy for the Corporate Secretary when required and is responsible for executing delegated responsibilities with precision and professionalism. This position is located at our Calgary head office and is an in‑office role. Key Responsibilities Board & Committee Support – Prepare documentation for all Board and Committee meetings, including agendas, resolutions, minutes and materials. Assist with corporate filings. Meeting & Governance Processes – Attend Board and Committee meetings and prepare Board policies. Advise on corporate governance practices and processes. Confidential Communications – Manage sensitive communications with directors and executives, including formal memos and informal interactions. Governance Policy Development – Assist in drafting and reviewing governance documents, policies, and news releases in collaboration with the Corporate Secretary and senior leadership. Additional responsibilities – Assist with transactional work, maintain corporate records, support governance processes, and contribute to strategic decision‑making. Qualifications and Professional Experience Minimum of 6–9 years of legal experience, with at least 5 years at a law firm in a corporate practice. Post‑graduate degree in Law (LL.B or J.D.) from an accredited Canadian law school. Active member in good standing with the Law Society of Alberta or another Canadian provincial law society. Strong background in corporate governance as well as corporate and securities law. Professionalism and strict confidentiality on all Board matters. Exceptional oral and written communication skills. Ability to navigate Board dynamics and engage diplomatically with senior leaders. Application Candidates may submit their application in English or French.
