YOUR IMPACT

An exceptional opportunity has arisen at OpenText for a Senior Legal Counsel to join our in-house M&A team based in the Richmond Hill office. Reporting to the VP, Legal M&A, and working closely with the broader legal team and Corporate Development team, this strategic in-house counsel position is dedicated to supporting the company's global M&A activities. OpenText has completed over $15 billion in M&A over the last 10 years and M&A continues to be one of OpenText’s leading growth drivers - you would be a key player in supporting this growth with high visibility to leadership.

WHAT THE ROLE OFFERS

  • Partnering with the Corporate Development team to lead OpenText’s M&A transactions - mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
  • Managing all legal aspects of OpenText’s transactions globally from inception to completion, including establishing appropriate transaction structures, letters of interest, term sheets, coordinating the due diligence process, and negotiating transaction documentation.
  • Handling the internal approval process and supporting closing transactions and some post-closing integration activities.
  • Cross functional teamwork to create continuous improvements, scalability, and operational excellence in deal and integration processes and execution.
  • Advise senior business leaders on legal risks and propose business-oriented solutions with a commercial focus.
  • Coordinating with outside legal counsel.

WHAT YOU NEED TO SUCCEED

  • 5+ years M&A experience at a law firm and/or in-house legal department with high volume of M&A activity.
  • Juris Doctor degree from an accredited law school.
  • Must have experience managing and executing complex private and public M&A processes, including overseeing M&A transactions from legal due diligence to closing.
  • Ability to work autonomously and drive high value projects to completion.
  • Communication skills to effectively interface with all levels of leadership as well as external partners and customers.
  • Sound business judgment and the ability to appropriately balance business objectives and legal risk.
  • Work under pressure and retain a sense of humor, strong sense of accountability, and inclusivity.
