THE ROLE
We are seeking an experienced and highly skilled individual to join our Corporate Development group. Reporting to the Sr. Director Mergers & Acquisitions (M&A), the Director Corporate Development will play a critical role in achieving the company's acquisition-based growth strategy, which will include initiatives inside our current Truckline, National Tank Services, Bulk Plus Logistics operations as well as new complementary business opportunities.

They will be responsible for the oversight and direction of M&A pipeline, managing the due diligence process, developing negotiating strategies and negotiating transactions, preparing board materials for transaction approval, and managing deal closing activities. This position is integral to the strategic priorities of the company with exposure to many internal and external stakeholders and senior management.

A DAY IN THE LIFE

Deal Flow
  • Assess the strategic fit and probability of acquisition opportunities and manage the opportunity pipeline to prioritize internal/external resources and to achieve annual M&A targets.
  • Direct the development of initial terms for non-binding Expressions of Interest and provide guidance on the sales pitch to potential acquisition targets; work with valuation team to glean insights from the financials of target companies and develop a point of view on valuation ranges to inform the initial negotiations.
  • Develop and maintain strong relationships with investment banking firms to optimize the deal flow for the organization; monitor market trends in the transportation & logistics sector and provide insights to senior management on market related M&A activity, funding availability, and valuation multiples.
Due Diligence
  • Lead the due diligence process coordinating across sellers/advisors, legal counsel, financial consulting firms and internal cross functional stakeholders to assess the opportunity and potential value; coordinate data flow and data rooms to ensure timeliness and efficiency in the due diligence process; provide guidance to due diligence stream owners on Trimac's risk tolerance and overall deal value to ensure the appropriate level of due diligence is completed.
  • Assess risks identified through due diligence and navigate issues/obstacles that arise with both sellers/advisors, legal counsel and internal departments to align outcomes in a way that protects the interest of Trimac while preserving the deal; develop mitigation strategies or go/no recommendations for each transaction based on the overall due diligence and negotiated terms to mitigate risks.
  • Manage the internal approval process where each respective VP signs off on their functional area due diligence and provides sign-off to move forward with the transaction as structured.
Negotiations
  • Develop and implement negotiating strategies for key terms across definitive agreements including purchase agreements, leases, consulting agreements and other ancillary documents as required.
  • Ensure deal terms protect Trimac's interests and generate acceptable returns on capital; work with internal and external stakeholders to find creative solutions for risks and/or roadblocks; work closely with valuation team to develop forecasts/valuation models and incorporate insights into developing deal structures to manage downside risks.
  • Lead negotiations sessions with investment bankers, legal counsel and/or sellers directly on key deal terms deal; provide guidance to Trimac's legal counsel on risk tolerance for typical M&A deal terms including indemnities, representations/warranties, and non competes/non solicits.
Deal Closing Activities
  • Provide guidance and input to Trimac's legal advisors to finalize definitive agreements and other legal documentation required to close the transactions; communicate with sellers and their counsel on the closing deliverables and timing to close.
  • Lead the development of materials as it relates to interacting and communicating with banking partners, C-Suite executives, and the board of directors for transaction approval; ensure deal terms and economics are clearly articulated and are within the approval range granted; manage the internal signing of all documents related to the transaction.
  • Work closely with the treasury group to secure funding prior to close and provide input to integration team for day 1 cut-over activities, 30/60/90 day plans, and overall integration strategy
Process Improvement & Strategic Initiatives
  • Collaborate with cross-functional teams, including finance, HR, accounting, and operations, to continually improve and streamline due diligence processes.
  • Work closely with tax and legal to develop tax planning and corporate structure recommendations related to both corporate and M&A strategy.
  • Work on special projects, initiatives, and ad hoc requests as required, providing insights and project management.

REQUIREMENTS

  • Business Degree in Finance, Accounting, Economics, Business or a related field
  • Track record of success and 10-15 years' experience in corporate development and M&A. Title will be dependent on years relevant experience.
