The Opportunity
We are currently seeking a Senior Counsel Manager to join our Legal team in Toronto.
The Senior Counsel Manager is responsible for advising, risk analysis, supporting and negotiating and drafting corporate/commercial agreements and documentation for our partners across Vale Base Metals in the areas of (i) Tax, Treasury, Corporate Affairs, Sustainability, IT, Finance, Insurance and Risk; (ii) Business Development, Strategy, Marketing and Sales; and (iii) overseeing and managing legal issues across operations and projects. The senior legal counsel provides guidance and direction on corporate, commercial and operational related matters to support senior leadership. In this position, you will be engaged to:
- Negotiate, draft and finalize agreements of various forms, including commercial contracts and corporate documentation.
- Support implementation and management of various agreements (shareholder related, partnership, offtake, royalty, etc.).
- Analyze, advise and liaise with internal clients on various operational issues that arise in the business – the expectation is to consider the legal issues, provide risk assessment, identify/assess options and make recommendations based on legal and business considerations.
- Ensure continuous progress on completion of specific projects/transactions/initiatives (e.g., Business Development, Strategy, Marketing and Sales, Treasury, etc).
- Contribute to Legal group operational efficiencies including external reporting (e.g., regulatory filings) as well as internal reporting (e.g., audit related, Litigation Reports, the Legal and Governance Base Metals Reports) as required weekly, monthly, quarterly, annually.
- Engage and provide information, support and direction to external counsel and other advisors, such as financial advisors.
- Provide corporate support including ensuring compliance with corporate policy/procedure, providing advice regarding approvals that may be required under corporate law.
- Contribute to the Legal Budget development, monitoring and reporting (including on external counsel spend, travel, training, etc.).
- Respond to periodic requests from senior Management (including within the Legal and Governance function).
- Perform legal research and corporate law analysis.
- Provide various cross functional governance support in respect of regulatory compliance, corporate integrity, etc.
About You
Education
- Bachelor of Laws or JD is required.
- Must have a Law Society Membership from a Canadian jurisdiction.
Experience
- 5+ years of related work experience.
- Private practice experience + in-house experience considered an asset.
- Public company experience not required but considered an asset.
- Experience in the natural resources, particularly mining, is considered an asset.
