You will support the company in all legal aspects, manage legal files, and ensure compliance with laws and regulations. You will also be responsible for protecting personal information.

As part of our adminstration team and reporting to our Chief Financial Officer (CFO), you will be in charge of these main repsonibilities:

  • Review, draft, and negotiate contracts, including software development agreements, license agreements, maintenance contracts, cloud services, and professional services contracts.
  • Optimize and adjust various company contract templates, including service level agreements (SLAs).
  • Participate in responses to requests for proposals and support the sales team in related tasks.
  • Ensure good corporate governance and legal compliance, including the company's cybersecurity strategy (risk management, incident response plans, and monitoring).
  • Ensure the registration and protection of the company’s trademarks, copyrights, and other intellectual property.
  • Draft and optimize company policies and procedures, particularly those related to data protection, privacy, and cybersecurity.
  • Educate employees on the protection of personal information and other relevant laws and regulations.
  • Understand the company's legal structure and make recommendations for optimization when necessary.
  • Analyze and address legal issues and draft legal opinions as needed.
  • Advise company departments on various legal aspects.
  • Coordinate and supervise mandates assigned to external lawyers.
  • Prepare the company and its employees for legislative and regulatory changes.

Skills and Abilities

  • Bachelor’s degree in law and professional training from the Quebec Bar.

  • Member of the Quebec Bar.

  • Minimum 5 to 7 years of experience, including at least 3 specialized in the information technology industry.
  • Legal Expertise:
    • Data protection: Knowledge of Canadian laws (PIPEDA, PIPA Alberta, PIPA BC, Quebec's privacy law).
    • Cybersecurity: Familiarity with laws, breach notifications, response protocols, and other industry-specific standards.
    • Intellectual Property (IP): Understanding of IP laws, open-source software, patents, and trademarks.
  • Knowledge of SOC 2 Type 2 and ISO 27001 accreditations (asset).
  • Interest in writing articles and/or conducting training on various legal aspects related to cybersecurity and data protection (asset).
  • Analytical and synthesis skills.
  • Professionalism, integrity, ethical conduct, and leadership.
  • Ability to work with cross-functional teams and communicate legal concepts.
  • Excellent spoken and written skills in French and English, considering our growing number of english speaking customers.
