Our Client
Is a fast-growing private equity firm in downtown Toronto.

Responsibilities
Draft and maintain corporate documentation for entity formations, amendments, ongoing filings, dissolutions, reorganizations, and other corporate transactions.
Organize and update corporate legal entity database and records.
Collaborate with internal Legal/Compliance/Tax teams and external counsel to oversee corporate filings, registrations, and handle external requests for AML/KYC documentation.
Review and manage corporate minute books to ensure accuracy and compliance.
Assist the internal Legal team with general corporate matters.
Provide guidance and supervision to external legal clerks and advisors regarding corporate filings and minute book maintenance.
Contribute to the review process of marketing materials to ensure legal compliance

Requirements
5+ years of relevant experience in a law firm or in-house legal department
Completion of post-secondary education and a law clerk or paralegal program
Proficiency in working within an entrepreneurial and fast-paced setting
Possession of a commercial, practical, and solution-oriented mindset
Ability and willingness to collaborate effectively within a team
