The Role
OSI is looking for an experienced Contracts Manager or Legal Counsel seeking an initial in-house role.

The role is a dynamic, customer and internal stakeholder-facing that is the leading edge protecting the commercial interests of OSI.

The role works to ensure that agreements, commitments, business arrangements and even internal processes do not expose OSI to unacceptable levels of risk and that they accurately and fairly reflect the rights and obligations of OSI.

Day-to-day activities range from simple purchase order processing to multi-year, multi-million dollar international contract negotiations and be prepared to use a lot of critical thinking.

The role presents a unique opportunity to grow and gain exposure to a variety of commercial and legal issues with a growing company.

Main Responsibilities

  • Tracking requests, prioritizing and completing the necessary actions throughout the contract lifecycle;
  • Provide support and advice to management and internal stakeholders on contracts, commercial arrangements and related matters;
  • Review tender and similar documents, provide commercial risk assessment, identify cost drivers and recommend customerfacing responses to contractual terms and conditions;
  • Review, draft and negotiate term sheets, agreements and amendments (i.e. both in terms of the contract and scope or specification) ensuring that they accurately reflect the intent of the parties, are unambiguous and are fair and reasonable;
  • Coordinate and ensure that agreements are approved at the appropriate level within the organization;
  • Ensure that management and any affected departments/personnel understand OSI's rights and obligations;
  • Manage postcontract award contractual obligations, ensuring contractual risks are clearly documented and brought to management's attention when necessary;
  • Identify alternative approaches and/or mitigation strategies to minimize contractual and commercial risks;
  • Interpret contract and other agreement provisions, and provide guidance on options or alternative approaches;
  • Prepare, discuss and lead contractual disputes and communications (e.g. contract letters);
  • Maintain diligent records and files of all agreements, contract correspondence and commercial matters;
  • Prepare, discuss and lead implementation of intellectual property protection strategy;
  • Assist the Company Security Officer and assume responsibility for some security related activities;
  • Assist the Company Designated Official for the Controlled Goods Program, and assume responsibility for some Controlled Goods matters;
  • Assist with the Company's compliance with the Export and Import Permits Act; and
  • Other duties as required.
You Bring

  • Relevant diploma or degree, or equivalent combination of industry experience;
  • 5+ years of performing formation, negotiation and administration activities for contracts or currently practicing lawyer within Canada; experience in shipbuilding, government contracting, domestic and international environments are all considered assets;
  • Depth in critical thinking, business acumen, judgment and negotiation skills;
  • Ability to work independently on tasks and priorities; participating in and providing inputs to various teams;
  • Ability to develop cooperative relationships and deliver concise and effective communication;
  • Excellence in both written and spoken English; high proficiency in Microsoft Office suite of products;
  • Familiarity with contracting practices typically affecting OSI, such as: software and hardware product development, licensing, quality, commercial arrangements, representative arrangements, warranty, intellectual property protection, and the conduct of domestic and international business pursuits;
  • Working knowledge of domestic and international tendering and contract law; US, Canadian and other government contracting practices including (e.g. SACC, FARS, DFARS, DEFCONS); intellectual property rights; international transportation and customs clearance practices; import and export laws and regulations including CGRP, EICA, ITAR company policies, products, competencies, strategies, and existing agreements; IRB/ITB or offset management;
  • Must be eligible for a Canadian security clearance; and
  • Some domestic and international travel may be required from timetotime.
