Commercial Contract Specialist

Location: Remote in the Greater Toronto Area (GTA)/Toronto, Canada

Term: Permanent Full-Time

Job Summary

We are looking for an experienced Contract Specialist to oversee the analysis, management, and optimization of our commercial contracts. In this role, you will be responsible for ensuring smooth execution of agreements, mitigating risks, maintaining compliance, and aligning contracts with business objectives. You will play a key role in enhancing the efficiency and quality of our contract management process, while helping to mitigate potential risks and ensuring the integrity of our contractual relationships.

This is a vital role requiring a strong understanding of commercial contracts, risk evaluation, and the ability to work cross-functionally across various business sectors. You will be expected to support global market expansion and collaborate with teams across multiple regions.

Key Responsibilities:

Contract Analysis & Review

  • Conduct detailed analysis and full review of commercial contracts, including purchase and sale agreements, distribution agreements, NDAs, and more.
  • Ensure contracts meet company standards, comply with industry regulations, and effectively address business risks.
  • Provide strategic input to improve contract drafting processes and ensure contracts reflect business goals.

Risk Management & Mitigation

  • Proactively identify and evaluate potential risks within contractual agreements, focusing on minimizing exposure to legal and financial risks.
  • Develop and implement strategies to mitigate risks while aligning with company policies and objectives.

Contract Negotiation & Collaboration

  • Collaborate with cross-functional teams to support contract negotiations and ensure alignment with business goals.
  • Participate in contract discussions and offer guidance on legal terms, obligations, and business considerations.

Global Contract Management

  • Work with global teams to adapt contract management practices to different cultural and regional business contexts.
  • Provide timely and professional support to internal teams to ensure contracts are efficiently processed and managed.

Process Optimization & Improvement

  • Continuously improve contract management processes and tools, driving efficiency and enhancing quality control.
  • Assist in the development and optimization of contract management software and IT platforms.

Qualifications:

  • Minimum of 5 years of experience in commercial contract management, with a focus on contract analysis, risk evaluation, and negotiation.
  • Strong technical expertise in commercial contracts, risk assessment, and mitigation strategies.
  • Excellent communication skills, both written and oral, for interacting with internal and external stakeholders.
  • Ability to thrive in a fast-paced, global environment and manage multiple projects simultaneously.
  • Bachelor's degree in Law, Business, or a related field is preferred; legal training or certifications in contract management is a plus.

Preferred Qualifications:

  • Experience working with international clients or cross-functional teams in various regions.
  • Familiarity with industry-specific contracts and regulatory frameworks.
  • Bilingual in English and Chinese.
