Corporate Law Clerk, Emerging Technology

Reporting to the Assistant Director, Corporate Services, the successful candidate will be responsible to assist with corporate transaction work and other general client work under the supervision of the Firm’s Lawyers all while ensuring that client deadlines are met and high quality, cost-effective, efficient professional services are provided to the Firm’s Lawyers and their clients.

The successful candidate may be required to work outside of normal business hours in order to meet business and client needs. This is a hybrid role.

Primary Responsibilities:

Management of key client relationships Assist Firm Lawyers on complex transactions Draft corporate documents including: agreements, resolutions, complex share provisions, documents for various types of transactions including corporate and tax reorganizations, documents relating to incorporation and organization, amalgamations, complex amendments, continuances and dissolutions Attend meetings with clients and Lawyers to review documents and provide technical assistance Conduct due diligence and minute book reviews and prepare reports outlining issues and deficiencies Coordinate the creation of and oversee electronic data rooms Assist with the collection and updating of of checklists and precedents

Required Knowledge and Experience

Law clerk diploma or equivalent A member in good standing with the Institute of Law Clerks of Ontario 5-7 years of law clerk experience Proficiency with technology such as Closing Folders, online Ministry portals, document management (iManage an asset), and data rooms Knowledge of cloud-based corporate databases (ex. MinuteBox) an asset Experience with Carta or cap table management software an asset Knowledge of venture financing or venture backed companies an asset Extensive knowledge of the Business Corporations Act (Ontario) and the Canada Business Corporations Act
