About the Position

Primary Responsibilities
- Conduct complex corporate reviews and other related due diligence in connection with transactions, recommend and draft rectification materials and prepare corporate structure charts
- Prepare and file articles and corporate documentation relating to simple and complex incorporations, amendments, continuances, amalgamations and dissolutions and other complex corporate transactions, particularly under the _Business Corporations Act_ (Ontario) and the _Canada Business Corporations Act_
- Prepare necessary documentation related to mergers, acquisitions, financings, asset purchases, Section 85(1) rollovers under the _Income Tax Act_ and reorganizations
- Prepare routine minute book documentation, such as annual meeting materials, change/directors/officers/registered office address/dividends/share provisions, etc.
- Prepare and file business name, partnership and limited partnership registrations
- Prepare and file extra-provincial registrations for corporations, partnerships and limited partnerships as required by various provincial legislation
- Prepare and file annual returns in various jurisdictions and forms 1 and 2 as required under the _Corporations Information Act_ (Ontario)
- Prepare registers of significant shareholders as require in various Canadian jurisdictions
- Prepare closing agendas for various types of transactions. Monitor and maintain the status of the documents
- Monitor and communicate with lawyers and clients with respect to ongoing corporate filings and other requirements
- Consult with lawyers and clients and assist in identifying necessary or appropriate corporate documentation, searches and filing in connection with transactions
- Provide general support to lawyers in coordinating large closings, preparing documents, and coordinating searches, reports and other matters for transactions
- Act as a mentor and establish a training relationship with junior and intermediate clerks within the group
- Participate in the education of articling and summer students and lawyers within the firm, and respond to inquiries as necessary

**Qualifications**:

- Completion of a law clerk or legal administrative program recognized by the Institute of Law Clerks of Ontario
- Fellow or Associate Member of the Institute of Law Clerks of Ontario
- A minimum of seven years of experience as a Corporate Law Clerk, ideally gained in a large law firm
- In-depth knowledge and understanding of the corporate statutes
- Superior written and verbal communication skills
- Excellent research and problem solving skills
- Highly attentive to detail and extremely organized
- Ability to work independently with mínimal supervision, and works well within a team
- Ability to interact and effectively communicate with individuals at all levels
- Flexible to work outside regular working hours when required
