As Counsel, Client Solutions you will be part of the Contract Authorization Review & Execution (CARE) team, which works to ensure a standard assessment of all contracts with external vendors and help manage and mitigate risk for the organization.

Reporting to the Associate Vice-President Legal (Client Solutions, CARE), you will provide legal direction to business and enterprise partners, and support the CARE team, by reviewing, analyzing, drafting, and negotiating various agreements, ensuring that agreements meet business objectives and key risks are appropriately addressed.

How you will create impact:

Negotiating, reviewing, and drafting vendor agreements with a focus on corporate/commercial matters including procurement and information technology (IT) agreements such as: Software as a Service (SaaS) AgreementsIT Consulting AgreementsSoftware Customization AgreementsLicencing AgreementsProfessional Services AgreementsService Provider Agreements Cultivating and maintaining effective relationships with business personnel, to ensure the effectiveness of the CARE process. Ensuring that key risks are appropriately identified and addressed by appropriate mitigation strategies. Working collaboratively with the team to create expertise in the contracting function enterprise wide.

You will maintain a keen eye for potential process improvements and be an “outside the box” thinker on solutioning for greater efficiency.

To join our team:

You have a minimum of five (5) years of progressive corporate commercial experience gained in a technology, insurance or financial services environment. You have extensive contract expertise, including experience in drafting and negotiating commercial contracts, including vendor agreements. You have solid experience with the types of IT contracts referenced above, as well as online technologies, including cloud computing. Knowledge of the insurance industry and regulatory context, including familiarity with relevant risk management guidelines issued by the Office of the Superintendent of Financial Institutions is an asset. You have a proven ability to understand the legal and business drivers of complex contracts. You exercise good judgement on when to seek help and where to find appropriate resources to solve problems. You have curiosity and eagerness to learn about new areas and technological developments. You have a Juris Doctorate ( or a Bachelor of Laws degree and are licensed to practice law in a Canadian province or territory.
