Embrace is an Inc. 5000 fastest‑growing US company. Job Summary This is a remote position. The Sr. Associate / Director of M&A role is a pivotal role within Embrace’s M&A team. Reporting directly to the Head of M&A, you will execute our M&A strategy, lead the full transaction lifecycle—from sourcing support and financial underwriting to diligence, negotiation, and post‑close integration. This is a highly visible position where you will manage multiple live transactions, mentor and lead junior team members, and work cross‑functionally with Embrace executives, operating company leaders, and external advisors. Key Responsibilities Deal Execution: – Oversee transaction documentation, including purchase agreements and ancillary contracts, in close collaboration with legal counsel; hold in‑person meetings with potential sellers to share Embrace’s value proposition, execute multiple LOIs; present well‑crafted investment memorandums for the Head of M&A and CEO clearly articulating value creation drivers, diligence, risk mitigation, and timing. M&A Strategy & Market Engagement: – Collaborate with the Head of M&A and CEO to identify and prioritize existing and new verticals; develop relationships with founders, brokers, intermediaries to maintain a robust deal pipeline; partner with the business development team to prioritize attractive industries and targets; prior first‑hand business development experience considered an asset. Due Diligence: – Prepare and present deal materials (models, investment memos, presentations) for internal approval; structure and negotiate LOIs/SPA’s in alignment with Embrace’s investment framework; manage cross‑functional diligence processes, coordinating with internal stakeholders and external advisors (financial, tax, legal, technology, etc.); identify risks and opportunities; drive creation of high‑quality diligence deliverables (deal decks, models, summaries). Post‑Close Integration Support: – Partner with the CEO, Head of M&A, Operating Partners, and portfolio company leadership teams to ensure smooth integration; speak to, defend and execute your thesis directly to newly acquired owners and leaders; responsible for executing the thesis during the integration period, staying close to leadership team. Requirements Demonstrated track record executing transactions in the software sector (must include software acquisitions). Hands‑on experience negotiating SPA, APA’s, NWC, and financing terms for software acquisitions. Experience managing software acquisition teams. Direct experience dealing with founders, executives, investors, and other stakeholders in a transaction setting. Prior experience in private equity or corporate development strongly preferred with focus on software acquisitions/businesses. 3–5+ years of prior work experience in software M&A, private equity, investment banking, or corporate development in North America; broad experience across non‑software industries less of a fit. Experience leading the successful close of 4+ acquisitions. Have led negotiations of SPAs, APAs, and net working capital for software acquisitions; candidate must’ve negotiated SPA’s and networking capital independently (for Director role). Experience closing software acquisitions in Industrial and Healthcare verticals preferred as a strong asset. Experience running diligence processes and managing third‑party advisors. A self‑starter with entrepreneurial spirit, ability to roll up sleeves, wear multiple hats and drive results in a fast‑paced dynamic environment. Must be aware of and have previously demonstrated Embrace’s Core Values. Professional credentials (e.g. CPA, CFA, MBA) considered an asset. Legally authorized to work in Canada. Required to travel up to 20% of the time if/when required. At this time Embrace is looking for those with buy‑side (acquisition or equity research) experience, not broad investment banking experience.
