Key Responsibilities Deal Execution Oversee transaction documentation, including purchase agreements and ancillary contracts, in close collaboration with legal counsel. Hold in‑person meetings with potential sellers to share Embrace’s value proposition in order to execute multiple LOIs. Present well‑crafted investment memorandums for the Head of M&A and CEO that clearly and concisely articulate value creation drivers, the diligence behind them, risk mitigation efforts and timing. M&A Strategy & Market Engagement Collaborate with the Head of M&A and CEO to identify and prioritize existing and new verticals to focus deal origination efforts on. Develop relationships with founders, brokers, and intermediaries to maintain a robust deal pipeline. Partner with the business development team to prioritize attractive industries and targets. Prior first‑hand business development experience is considered an asset. Due Diligence Prepare and present deal materials (models, investment memos, presentations) for internal approval. Structure and negotiate LOIs/SPA’s in alignment with Embrace’s investment framework. Manage cross‑functional diligence processes, coordinating with internal stakeholders and external advisors (financial, tax, legal, technology, etc.). Identify risks and opportunities, ensuring the investment thesis is validated with a focus on the “80/20” of what matters most. Drive creation of high‑quality diligence deliverables (deal decks, models, summaries). Post‑Close Integration Support Partner with the CEO, Head of M&A, Operating Partners, and portfolio company leadership teams to ensure smooth integration. Speak to, defend and execute your thesis directly to newly acquired owners and leaders; prior experience is a strong asset. Responsible for executing the thesis during the integration period where you will stay close to the leadership team. Requirements Experience Demonstrated track record executing transactions in software sector is a must have. Hands‑on experience negotiating SPA, APA’s, NWC, and financing terms for software acquisitions. Experience managing software acquisition teams. Direct experience dealing with founders, executives, investors, and other key stakeholders in a transaction setting. Prior experience in private equity, or corporate development strongly preferred with a focus on software acquisitions/businesses. Key Requirements 3–5+ years of prior work experience in software M&A, private equity, investment banking, or corporate development in North America. It is critical to our success that the individual that fills this role have prior experience in software acquisitions. Broad experience across non‑software industries is less of a fit at this time. Experience leading the successful close of 4+ acquisitions. Have led the negotiations of SPAs, APAs, and net working capital for software acquisitions is considered an asset. Note to be considered for the Director role the candidate must’ve negotiated SPA’s and networking capital independently. Experience closing software acquisitions in Industrial and Healthcare verticals is not required but considered a strong asset and preferred. Experience running diligence processes and managing third‑party advisors. A self‑starter with entrepreneurial spirit with the ability to roll up your sleeves and wear multiple hats and drive results in a fast‑paced dynamic environment. Must be aware of and have previously demonstrated Embrace’s Core Values. Professional credentials (e.g. CPA, CFA and/or MBA) is considered an asset. Legally authorized to work in Canada. Required to travel up to 20% of the time if/when required. At this time Embrace is looking for those with buy‑side (acquisition or equity research) experience and not broad investment banking experience.
