Caseware is looking for a Legal Counsel to join the scaling and growing in-house Legal Team. This is a unique opportunity for an energetic, organized and proactive lawyer to join a small legal team supporting a global company. Reporting directly to the General Counsel, the Legal Counsel will assist with the day-to-day management of the legal department and will have a broad scope of responsibilities. Your primary focus will be to support commercial transactions, assisting the sales teams in complex contract negotiations. You will be comfortable with all types of commercial contracts, such as licensing agreements, SaaS agreements and partnership agreements. As a team player with a broad base of experience, you will also collaborate across the business, providing support and connecting with all areas of the business. This is a new role. The role is available to all members of the Ontario Bar Association currently residing and eligible to work in Ontario, Canada. This is a hybrid role: 3 days a week minimum in the office is expected. Office location: 351 King Street East, Toronto, ON M5C 2V6. What you will be doing Independently draft, review, and negotiate a broad range of commercial agreements and related documents, including customer license agreements, vendor contracts, non-disclosure agreements, and partnership agreements. Support and build relationships with a highly interactive Commercial Sales Team. Provide practical and timely advice to different lines of the business including the Finance, People Ops, Information Security, and Compliance Teams. Support the continuous improvement of the legal function by developing and administering policies and processes to promote efficiency and collaboration. Investigate and implement legal tech and AI within the legal team. What you will bring Must be a member in good standing of the Law Society of Ontario. A Bachelor of Laws degree (LL.B) and/or Juris Doctor (J.D.) degree. A minimum of 3 years of experience advising on commercial contracts in a technology practice or in-house at a technology/SaaS company, working closely with product and sales. Additional experience in privacy, IT, IP, employment and corporate matters is an asset. Experience managing files independently, including reviewing and drafting commercial contracts, SaaS, and other technology-related agreements. Excellent client relationship and communication skills and the ability to work with a variety of people with varying degrees of legal exposure. Must be comfortable with ad-hoc requests, meeting short timelines, and handling multiple projects simultaneously. Experience with privacy compliance, including GDPR, PIPEDA, and CCPA strongly preferred. Problem solving mindset and can do/get it done attitude is key Openness to feedback and eagerness to learn and grow. Most excited when having to think very pragmatically about risks, and understand business priorities. Exercising business judgment to deliver practical and pragmatic solutions when the “right” legal answer is not crystal clear Salary and benefits Salary Range: The annual base salary for this position is between $115,000 CAD and $125,000 CAD per year. This role is also eligible for discretionary bonus and/or commission, as well as other benefits. Actual pay within the listed range will be determined based on factors such as transferable skills, relevant experience, market conditions, and primary work location.
