THE ROLE IN A NUTSHELL

Reporting to the Associate General Counsel, you will be responsible for providing practical, timely and business-oriented legal advice on a broad range of corporate, commercial and regulatory matters.

You will work closely with business and operations leaders as a strategic legal partner and primary point of contact for legal support across various GreenShield business units. You will also advise on product development, procurement processes, regulatory compliance, and enterprise initiatives, working collaboratively with cross-functional stakeholders across privacy, IT, security and operations. You will play a key role in enabling business objectives by identifying legal and commercial risks and providing pragmatic, solutions-oriented guidance within a fast-paced and evolving environment.

THIS ROLE WILL BE RESPONSIBLE FOR

Providing practical, timely and business-oriented legal advice on a broad range of corporate, commercial and regulatory matters impacting GreenShield’s businesses

Drafting, reviewing, revising and negotiating a wide range of commercial agreements, including client agreements, service provider agreements, partnership agreements, NDAs, amendments and statements of work

Supporting the full contract lifecycle, including new client onboarding, contract renewals, amendments, and contract integration activities relating to acquisitions and evolving products and services

Supporting business units in their responses to requests for proposals (RFPs), including reviewing client terms, identifying legal and commercial risks, and advising on negotiation strategies

Identifying legal, regulatory and commercial risks associated with business initiatives and providing practical, solutions-oriented guidance to mitigate risk while enabling business objectives

Collaborating with cross-functional teams, including privacy, IT, security, product and operations, to advise on issues relating to data use, platform services, and regulatory compliance

Providing legal support on regulatory and compliance initiatives, including competition law matters, internal policies, and enterprise compliance programs

Supporting the management and resolution of claims, disputes and litigation matters as required, including coordinating with and overseeing external counsel

Managing relationships with external counsel, including briefing, coordinating and reviewing external advice on specialized or complex matters

Conducting legal research and analysis and preparing clear and concise written and oral legal advice for business stakeholders

Supporting the development, maintenance and continuous improvement of legal templates, playbooks, and contracting processes to enhance efficiency and consistency

Supporting strategic initiatives, including product development, enterprise transformation projects, and post-acquisition integration efforts

Performing other duties as assigned

WHO WE\'RE LOOKING FOR

A minimum of 1 to 5 years’ post-call relevant experience at a law firm and/or in-house department practicing corporate/commercial law

Experience with technology and health-related agreements is an asset

Strong experience drafting, reviewing and negotiating a wide range of commercial agreements, including service provider, client-facing, and partnership agreements

Experience supporting business stakeholders in a fast-paced environment, with the ability to provide clear, practical and risk-adjusted legal advice

Exposure to insurance, health and/or pharmaceutical industry would be an asset

Exposure to third party service provider agreements, procurement processes, and risk management frameworks

Demonstrated ability to identify legal and commercial risks and propose pragmatic, solutions-oriented approaches

Strong business acumen and the ability to balance legal risk with commercial objectiv
