About the Role:
The Director, Legal & Business Affairs serves as a key strategic partner to the business and executive team. This role provides legal leadership and practical guidance on complex business matters, ensuring the company's interests are protected while supporting growth and operational excellence. The Director will oversee a wide range of legal and commercial matters, including mergers and acquisitions, project development, corporate governance, financing, and general commercial contracting. This position reports to General Counsel, SVP of Corporate Services.
Responsibilities:
- Draft, review, and negotiate project development and asset management contracts, including EPC, O&M, offtake, real estate, consulting, supply, and service agreements.
- Advise and assist in commercial transactions, including acquisitions, divestitures, joint ventures, andproject and corporate financing
- Provide strategic legal advice on disputes, litigation, risk management, regulatory compliance, and corporate governance.
- Serve as a trusted business partner to leaders across the organization, offering practical, solution-oriented advice.
- Lead or support external counsel engagements.
We want you on our team because you:
- LL.B. or J.D. and member in good standing with a Canadian or U.S. law society or bar association.
- Minimum of 5 years of complex transactional experience (law firm and/or in-house), ideally including exposure to energy, infrastructure, or capital-intensive industries.
- Strong experience drafting, negotiating, and managing commercial contracts (e.g., power or commodity sales, construction, engineering, financing, joint ventures, real estate, or asset management).
- Proven ability to assess business and legal risks, develop pragmatic solutions, and provide sound judgment under pressure.
- Exceptional communication, negotiation, and drafting skills with strong attention to detail.
- Demonstrated leadership, initiative, and the ability to work effectively with executives and multidisciplinary teams.
