The Opportunity

We are seeking a detail-oriented and proactive
Paralegal – Contracts
to support the efficient management of the company's contractual obligations. Reporting to, and working closely with, internal management and fractional legal counsel, this role will be responsible for drafting, reviewing, and administering a wide range of agreements, including but not limited to Master Service Agreements, software and licensing contracts, employment-related documents, and other commercial or operational contracts that support business functions.

The ideal candidate will have a solid understanding of contract law, with experience in contract management or in a legal function supporting commercial operations. They will be responsible for supporting contract execution, maintaining alignment with internal policies and compliance standards (such as ISO 27001), and helping to improve contract workflows. Success in this role requires the ability to manage shifting priorities in a fast-paced environment, exercise sound judgment, and communicate clearly and professionally with both internal teams and external partners.

Responsibilities:

Contract Management & Oversight:

  • Draft, review, and manage a variety of agreements, including customer, vendor, service, and HR-related contracts.
  • Support the administration of contracts across the full lifecycle: initiation, execution, amendment, renewal, and termination.
  • Ensure alignment with company policies, internal procedures, and applicable legal requirements.
  • Lead the development and maintenance of a centralized contract repository, ensuring accurate organization of contract records, tracking of key dates and deliverables, and visibility of renewal and termination timelines across departments.
  • Collaborate with internal management, fractional legal counsel, and other key stakeholders to ensure contract language aligns with business objectives and addresses relevant legal considerations.

Legal & Compliance Coordination:

  • Apply knowledge of contract law and industry standards to identify and help mitigate contract-related legal and operational risks.
  • Ensure contracts align with current business objectives and adhere to applicable laws and internal governance practices.

Education & Experience

  • Paralegal diploma or certificate from a recognized institution; a bachelor's degree in legal studies, business, or a related field is an asset.
  • Minimum of 5 years of experience in a contract management, paralegal, or similar legal support role.
  • Familiarity with contract law across multiple Canadian provinces and U.S. jurisdictions.
  • Solid understanding of employment-related contractual considerations in both Canadian and U.S. contexts.
  • Experience organizing and maintaining legal and contractual documentation.
  • Exposure to cloud-based, SaaS, and technology-related contracts is a strong asset.
  • Exceptional attention to detail and the ability to manage complex documentation with accuracy.
  • Strong judgment, discretion, and problem-solving skills when handling sensitive contractual matters.
  • Comfortable working independently while maintaining alignment with legal and business leadership.
  • Proactive, adaptable, and able to manage multiple priorities in a fast-paced environment.

Skills

  • Experienced in drafting, reviewing, and managing a wide range of commercial agreements, including service, software, employment, and other operational contracts.
  • Strong organizational, analytical, and time management skills.
  • Able to adapt to shifting priorities and meet deadlines with a proactive, professional attitude.
  • Familiarity with compliance standards such as ISO 27001.
  • Strong written and verbal communication skills in English.
  • Ability to work collaboratively with cross-functional teams and external partners.
  • Professional level communication in English both oral and written.
