D'Arcy & Deacon LLP is currently looking for an experienced Legal Assistant to work with one of our Partners in a corporate and commercial law practice. The ideal candidate will be a self-starter who is confident in their ability to work well under pressure and can prioritize tasks with minimal supervision. You have a minimum of 5 years working as a Legal Assistant in corporate and commercial law or you can demonstrate that you have excellent legal skills to excel in this role.

Responsibilities will include, but are not limited to:

· Preparing and filing various documentation for Extra-Provincial Corporations including Applications for Registration/Cancellation/Restoration/Supplementary Certificate of Registration, Renewal of Business Name, Annual Returns, Change of Address/Business Location and/or Directors/Officers and Registered Office Address, Powers of Attorney, Consents and/or Undertakings

· Registration of British Columbia, Alberta or Saskatchewan Business Corporations in Manitoba (via New West Partnership Trade Agreement)

· File Changes in a Limited Partnership and Dissolution of a Limited Partnership

· Prepare and file documents for Agent for Service in Manitoba

· Prepare and file documents for Manitoba Securities Commission for Agent for Service in Manitoba

· Perform Commercial Due Diligence Searches and Search Summary Reports

· Assist with the preparation, editing and finalization of various documentation including Commercial Agreements, Commercial Financing, Sales/Purchases, Commercial Leases, Commercial Purchases and Sales of Assets/Shares, Corporate Reorganization and Opinions
