Overview

Are you passionate about corporate governance and supporting high-impact leadership? Do you want to play a key role in enabling WorkSafeBC’s Board of Directors (BOD) to fulfill its responsibilities to workers and employers across B.C.? We are looking for a Director, BOD Governance and Corporate Secretary.

Reporting to the Chair of the BOD, you’ll be responsible for providing governance support to the Chair and the BOD to assist them in fulfilling their statutory and governance responsibilities. You will act as a resource to the Chair on matters related to the BOD and its overall functions, including the corporate governance framework, and provide information and advice to the Chair and the BOD on planning, decision making and governance issues and practices.

In this role, you’ll coordinate and provide orientation, as well as ongoing education and information, to ensure the BOD has the knowledge required to consider the matters coming before them. You will act as a liaison and communicate with the President/CEO, executive team, and external partners including ministries, government partners, and appointee offices on behalf of the Chair and BOD as required. The nature of this position requires working with highly confidential matters and delivering exceptional, responsive service to the BOD.

Under direction from the Chair, you will coordinate and manage the business of the BOD, including BOD meetings, official records, communication and reporting requirements, financial administration, and adherence to relevant policies and procedures. You will provide leadership to the operation of the Office of the Chair/BOD to ensure that adequate administrative support and services are provided to assist the members of the BOD in fulfilling their responsibilities.

You will work in an environment with multiple moving pieces, shifting agendas, and senior leadership partners, including the President/CEO, government, and newly appointed BOD members. As the _Workers Compensation Act_ dictates the makeup and authority of the BOD, including approval of policies and regulations, you’ll play a critical role in liaising between WorkSafeBC’s management, the BOD, and external public partners.

**Where you’ll work**

At WorkSafeBC, we offer a hybrid work model that combines working remotely and, in our offices, based on the operational needs of the position.

In this role, you will work primarily from our Richmond, office with some flexibility to work from your home in B.C.

What you'll do

BOD Governance Support
- Act as a resource to the Chair, providing advice and support on matters related to WorkSafeBC and the BOD and its overall functions.
- Provide advice and support to the Chair and the BOD in its governance, planning, and decision-making activities to assist them in fulfilling their responsibilities.
- Be the primary advisor on corporate governance matters, promote effective governance practices within the organization, and act as a resource on emerging governance issues and practices.
- Provide information and advice to the Chair and the BOD on the corporate governance framework established for WorkSafeBC and their roles and responsibilities as directors within governance requirements.
- Support the BOD in carrying out duties legislated under the _Workers Compensation Act_.

BOD Orientation and Education
- Establish, maintain, and coordinate a comprehensive orientation program for new BOD members to ensure that they have a good understanding of their role and are equipped to undertake their governance responsibilities for WorkSafeBC.
- Work with the Chair to identify needs for ongoing training and professional development for BOD members in relation to governance responsibilities and coordinate educational opportunities for the BOD as a whole or on an individual basis.

BOD Meeting Management
- Assist the Chair in managing all aspects of BOD meetings to ensure the effective functioning of the BOD.
- Attend BOD meetings and ensure that minutes, resolutions, and records accurately and properly reflect the decisions and actions of the BOD.
- Provide information, coordination, and facilitation of the activities of the BOD and BOD Committees.
- Track, coordinate, and schedule the annual reporting requirements for the BOD’s review.

Communications and Liaison
- Support the Chair and President/CEO in ensuring that BOD decisions are communicated to management, and act as a channel of communication and information for BOD members in order to ensure that they have necessary and current information.
