**Job Description**:
Legal Counsel, Canada
Identify, manage and advise on (i) legal matters in Canada and (ii) global procurement matters.
Commercial legal role supporting all aspects of CHEP Canada’s business and a wide variety of procurement activities globally:
- Support customer/retailer revenue generation for CHEP Canada’s business
- Drive heightened asset protection and recovery efforts in Canada.
- Manage external legal spend in Canada.
Support global Transformation initiatives, especially those involving procurement matters
Major/Key Accountabilities
- Identify and manage legal risks and opportunities. Draft, review, analyze and negotiate sales, service and other customer-facing agreements to achieve acceptable risk levels.
- Advise international, national and local teams - including management, sales, business development, supply chain, procurement, finance and human resources - on a broad range of day-to-day legal matters. Analyze and translate legal principles into workable solutions.
- Ensure that company form agreements and templates, as well as legal and business processes, are up to date with respect to applicable laws/regulations and best practices.
- Provide dispute management support to the business - engage, direct and supervise outside counsel in the management of litigation and other legal issues.
- Manage external legal counsel within budgetary constraints and with a focus on increasing the cost-effective use of external counsel.
- Provide training and support to CHEP Canada team members on developing and revising corporate policies and processes, contract terms and other legal issues.

- Must be a process-oriented team player with demonstrated ability to work under pressure and manage multiple projects simultaneously.
- Must have a pragmatic approach to problem solving and strong flexibility to adjust to changing requirements, schedules and priorities.
Authority/ Decision Making
- Engagement of and spend on external legal counsel in Canada.
- Decisions regarding legal risk in contractual matters with customers, suppliers, etc.
- Working in a matrix environment (reporting up through the Legal function but having a key role as part of CHEP Canada’s leadership team).
Essential Qualifications
- Law degree from a reputable law school, and active membership in the Ontario bar.
- 5+ years of commercial legal experience, ideally including in-house legal department experience
Desirable Qualifications
- In-house legal department experience
Experience
- Significant experience advising clients on commercial transactions.
- Hands-on drafting and negotiating skills and experience with deep knowledge and understanding of commercial law.
Skills and Knowledge
- Working knowledge of relevant federal and provincial laws.
- Superior analytical and legal drafting skills.
- Adherence to the highest level of professional and ethical behavior.
- Ability to support corporate compliance programs and to advise on compliance matters, including anti-bribery, anti-corruption, sanctions and trade compliance.
