JOB SUMMARY

The role will primarily consist of corporate and commercial legal work across a number of strategic and operational imperatives (including acquisitions, contracts, and general corporate law matters). The Paralegal will work closely with the Legal Team to identify and assume responsibility for projects and processes in need of support.

**RESPONSIBILITIES**:

- Maintenance of corporate files and minute books
- Draft annual corporate resolutions and maintain the company's corporate records, including federal and provincial returns
- Preparation of corporate documents in connection with incorporations, dissolutions, revivals, resolutions, corporate reorganizations, minute book audits, due diligence searches
- Assist the Legal Team with compliance issues, executive summaries, and directives in relation to commercial transactions
- Assist the Legal team with related tasks and projects, including the review and negotiation of service agreements and preparing amendments

**REQUIREMENTS**:

- Proficient written and verbal communication and interpersonal skills
- Diploma of College Studies in Paralegal Technology or Attestation of College Studies in Paralegal
- Bilingual: English and French, both written and spoken
- Ability to work independently and at the same time work effectively in a team environment
- Outstanding legal technical and customer service skills - ability to respond promptly to client needs, seeks feedback to improve service levels; and meets commitments
- Extensive knowledge and skill related to Microsoft Office
- Knowledge in document drafting and categorization with excellent attention to detail
- Ability to manage files and meet deadlines

**EXPERIENCE**:

- 3+ years’ experience in a corporate environment, in-house legal department or in a law firm
