We are currently seeking an **Assistant Corporate Secretary **to round out our Legal team.

**Position Summary**:
This is a full time, permanent role which works under the guidance of the Corporate Secretariat and reports to the Vice President, General Counsel and Legal. The Assistant Corporate Secretary provides a high level of support to the Technical Standards and Safety Authority (TSSA) Board of Directors, various Board Committees, and the senior leadership team in accordance with good governance principles.

To be successful in this role, you must possess sound knowledge of corporate law and regulatory requirements to provide advice on best practices.

**What you will do?**
- Schedule all board and committee meetings, as well as meetings with senior management as necessary
- Prepare draft meeting agendas and work with members of management and board/committee chairs to finalize meeting agendas
- Receive, process and upload all meeting materials to the board portal, while maintaining stylistic consistency and version control
- Ensure that all board and committee meetings run smoothly, including meeting room set-up and coordinating attendance with meeting guests
- Take accurate minutes of all board meetings and track the status of action items
- Work collaboratively with the Communications & Stakeholder Relations department in coordinating the organization’s Annual General Meeting
- Logistics and planning for other board events, including the annual off-site board strategic planning session
- Serve as the first point of contact for directors and facilitate communication between the board, management and external advisors
- Coordinate the onboarding of new directors
- Bring forward board-approved policies for regular and manage the organization’s policy register and the board manual
- Assist in departmental budgeting and forecasting, and monitor adherence to annual budgets throughout the fiscal year
- Conduct research and provide advice on corporate governance best practices
- Ensure compliance with applicable corporate laws and regulatory requirements, including regarding record-keeping and annual government filings

**What do you need to succeed?**
- University degree or diploma, ideally in law, business or a similar field
- 3+ years of relevant experience in a similar role
- Corporate secretary of corporate governance educational courses or certifications an asset
- Advanced proficiency in Microsoft Word, PowerPoint, Excel
- Familiarity with Microsoft Teams and other virtual meetings platforms
- Experience with board portals (Boardvantage preferred)
