**What you will be doing**

  • **Leadership & Team Management**:Lead and mentor the Corporate Services team, ensuring smooth day-to-day operations and excellent client service including adoption of technology and process improvements.
  • **Corporate Governance**: Oversee the preparation, filing, and maintenance of corporate records, resolutions, minute books, and statutory filings for a range of clients.
  • **Compliance & Regulatory**: Ensure compliance with corporate governance and regulatory requirements under various corporate statutes, including the Ontario Business Corporations Act (OBCA) and Canada Business Corporations Act (CBCA).
  • **Transaction Management**: Support real estate and corporate transactions, including incorporations, continuances, amalgamations, dissolutions, and other corporate changes.
  • **Client Relationship Management**:Act as a key point of contact for clients, offering guidance on corporate governance and transactional matters while building long-term client relationships.
  • **Process Improvement**: Identify and implement improvements to enhance the efficiency of the Corporate Services Department.
  • **Legal Support**: Collaborate with lawyers and other departments to provide comprehensive legal services, including due diligence and support for corporate transactions.
  • **Document Management**: Maintain accurate and organized corporate records and legal documents.

**What you will to bring to the position**

  • Minimum of 7-10 years of professional experience gained as a Law Clerk in Corporate Law, including three (3) years in a management or leadership role.
  • Completion of post-secondary Law Clerk or Legal Assistant program.
  • In depth knowledge of corporate governance, corporate transactions. Familiarity with OBCA and CBCA is required.
  • Proficiency in Microsoft Office Suite (Word, PowerPoint, Excel, etc.) and legal software such as ALF, Athennian, iManage, or similar programs.
  • Strong organizational and multitasking skills with meticulous attention to detail.
  • Excellent leadership and team management abilities.
  • Exceptional communication, persuasion and interpersonal skills.

Pay: $130,000.00-$140,000.00 per year
