Contracts Manager

The Copperleaf team is growing rapidly across all regions globally, including the Americas. This is a great opportunity to join a growing, diverse team that is having fun together building the Copperleaf business globally.

We’re looking for a Contracts Manager capable of becoming an expert in our contract development, review, negotiation and lifecycle management, specifically focused on the Americas region while creating consistency and credibility with our clients and collaboration with the other Contracts Managers.

You will have the primary responsibility for working with the Global Contracts Manager and regional colleagues. You will be responsible for the Americas client contracting process, managing the non-client contracts, and supporting the Global Contracts Manager collaborating with the EMEA and APJ Contracts Managers with department projects and initiatives and coverage for vacations and other time off.

Typical client contracts are for millions of dollars of software licensing, software as a service, implementation services, hosting and support & maintenance. Each client is unique; their contracts require considerable discussion and drafting of terms to reach a successful conclusion.

**Responsibilities**:

- Drafting, reviewing, negotiating and managing contracts including partner contracts, vendor contracts, non-disclosure agreements etc.
- Reviewing, red-lining, and commenting on contract terms.
- Working with our business and the external contract party to reach agreement on final contract terms.
- Producing user-friendly contract summaries of deviations and risks for the stakeholders.
- Support our Customer Experience consulting team to ensure all statements of work align to the contractual requirements.
- Assisting our internal clients with contract-specific or process related inquiries
- Providing input to, and collaborating with the global Contracts Management team on our standard contract templates to stay current with best practices
- Supporting the global Contracts Management team, as needed.
- Ensuring our client, license and contract database is kept current

**About you**:

- You’re smart and enjoy challenging puzzles
- You’re naturally detail oriented and comfortable handling multiple priorities
- Articulate with strong written and oral English language skills with deep understanding of the nuance and importance of individual words and phrase
- You enjoy getting into the intricacies of the inter-related provisions of a contract and interpreting the relationship between them.
- You enjoy proactively collaborating with others within contracting and other internal and regional teams and are open to input from others.
- Comfortable speaking with the internal business and external parties relating to the individual contracts
- You’re business savvy and oriented to create win-win scenarios with customers
- Some experience and background in contracting. Software contracts (procuring or providing) is an asset
- You do not need to be a lawyer
