In this multifaceted, global role, the Corporate Governance Analyst supports the development and effective implementation of corporate governance initiatives across Manulife. The Corporate Governance Analyst is based out of Toronto and reports to the AVP & Assistant Chief Counsel, Global Corporate Legal Affairs.
- The Corporate Governance Analyst supports dynamic work streams and brings to the position a continuous process improvement mindset. Key accountabilities include _

**Key Accountabilities**

1. The development and delivery of corporate governance initiatives at both the parent and subsidiary levels by:

- Analyzing governance processes and identifying opportunities for enhancement and optimization.
- Identifying emerging issues and trends in corporate governance to inform decision-making and contributing to recommendations on strategy and new initiatives.
- Building and improving resources to support effective governance, globally.
- Drafting guidance documents to support the implementation of new processes, resources, and tools.
- Conducting benchmarking studies and other research and providing value-added analyses and summaries.
- Developing policyholder and shareholder meeting materials.
- Preparing a variety of reports for management.

2. Supporting the day-to-day management of certain subsidiaries by:

- Overseeing the management of corporate records and corporate filings, including extra-provincial and territorial registrations, amendments, and annual returns.
- Developing materials for meetings of directors, including notices and board books.
- Coordinating information requests.
- Managing lifecycle events.

3. Supporting intercompany transactions by:

- Preparing checklists and other routine documents to facilitate closings.
- To be successful in this role, the Corporate Governance Analyst possesses the following education, experience, and skills: _

**Education**
- Degree from a recognized university in business administration or another relevant field.
- Diploma from a recognized Ontario Corporate Law Clerk program certified with The Institute of Law Clerks of Ontario (or an equivalent program from another Canadian common law jurisdiction) would be an asset.

**Experience**
- At least 5 years of experience in policy analysis and program development, preferably in the governance space.
- Experience researching, consulting, drafting documents, and providing advice on various strategic policy and program issues.
- Experience preparing briefing material on various policy issues.
- Experience with the maintenance of corporate entities, including corporate and securities filings, is an asset.
- Experience working at a Federally Regulated Financial Institution is an asset.

**Skills**
- Exceptional organizational skills and attention to detail.
- Excellent oral and written communication skills.
- Excellent judgment.
- Strong interpersonal skills, with the ability to work well in a team environment as well as with other departments and outside parties.
- Ability to take charge, work independently, and proactively handle various tasks simultaneously.
- Strong priority-setting skills, marshaling resources to meet deadlines for filing requirements.
- Ability to be discreet when handling confidential issues.
- Excellent PC skills: Microsoft Office (Word, Excel, PowerPoint, and SharePoint), and Adobe Acrobat.
- Ability to adapt to continuous change, and to succeed in an environment of uncertainty.
- Knowledge of federal and Ontario business organizations is an asset.
