Reporting into the Legal Department of the Bank, the **Corporate Governance Law Clerk **will provide support to the Legal team and work closely with the senior management team and the Board of Directors of the Bank. The Clerk will provide corporate secretarial services for the Bank (including corresponding with the Bank’s regulators and members of the Board of Directors), assist with securitization transactions (including securities law compliance and continuous disclosure requirements for the Bank’s securitization program), assist with regulatory filings, and will provide administrative support to the Legal group in the context of such activities.

**Key responsibilities**:

- Coordinate Board and Committee meetings, as well as assist with the preparation of required materials;
- Liaison for communication with Executives and Members of the Board of Directors on behalf of the Board Secretary;
- Preparation and completion of corporate and business filings;
- Assure compliance with the _Bank Act_ (Canada) and other relevant corporate governance statutory requirements;
- Communicate with the Bank’s regulators as required;
- Assist with the Bank’s securitization transactions and with the preparation of continuous disclosure documents;
- Provide input on corporate governance matters and best practices;
- Be involved in a variety of special projects;
- Support Business Compliance function with respect to corporate governance matters; and
- Provide administrative support in connection with the above activities.

**Qualifications & Competences**:

- Minimum 3 years’ experience as a Corporate Law Clerk or Paralegal within a law firm, financial institution or a major corporation;
- College Law Clerk Diploma or Paralegal License;
- Previous experience in the corporate secretariat department for a financial institution or a major corporation is an asset;
- Advanced computer skills, inclusive of MS Word, Excel, Power-Point & Outlook;
- An inquisitive nature that leads to seeking out and identifying trends and issues and solution recommendation;
- Excellent oral and written communication, organizational and multi-tasking skills; and
- Exceptional judgment and integrity to manage confidential and sensitive information.
