**SUMMARY**:
Reporting to the Director, Legal Affairs, the Legal Counsel will be responsible for the preparation and negotiation of legal documents in connection with leasing transactions for an assigned portfolio of properties in Quebec.
**PRIMARY RESPONSIBILITIES**:
- Prepare legal documentation for complex commercial and retail leasing transactions.
- Negotiate legal terms of offers to lease, letters of intent, leases, renewals, transfers, relocations, expansions, terminations, etc.
- Draft, review and revise notices of default and termination.
- Finalize legal documentation, prepare, and review internal approval forms for deal approval and document execution by authorized signing officers of owner companies.
- Review and comment on legal documentation prepared by third parties (i.e., tenants, brokers, and lawyers).
- Ensure legal documentation is in line with First Capital policies, procedures, strategies and approved signing authority.
- Advise leasing department of business and legal concerns in papering transactions.
- Respond to internal and external inquiries and interpret lease-related issues.
- Other responsibilities as required.
**KNOWLEDGE, EXPERIENCE AND SKILLS**:
**Required level of education and job-related experience**:
- Five years plus experience drafting and negotiating sophisticated complex commercial leases and ancillary legal documents within a law firm or a commercial real estate organization.
- Called to the Bar in the Barreau du Quebec or the Chambre des notaires du Quebec.
- Bachelor's degree in Law preferable.
**Specific skills you’ll need to be successful**:
- Fully fluent in French and English.
- Sound knowledge of commercial leasing.
- Well-developed communication skills to effectively communicate across all levels within and outside the organization.
- Detail-oriented with exceptional documentation, drafting and negotiation skills.
- Pragmatic approach to problem solving and analytical review.
- Excellent attention to detail and time management skills to coordinate multiple, competing priorities and deadlines.
- Proficiency in Microsoft Office Suite, particularly Word, Outlook, and Excel.
