**The Opportunity**
KFG Law is seeking a skilled and detail-oriented full-time Corporate Law Clerk to join our thriving Corporate practice. This role offers the opportunity to work alongside experienced lawyers and other professionals on a broad range of corporate matters while playing a key role in supporting transactions and ongoing corporate maintenance. KFG Law provides a supportive and collegial work environment.
- Preparation and filing of corporate documents, including incorporations, amendments, amalgamations, continuances, dissolutions, limited partnership declarations, business name registrations, PPSA registrations and Extra-provincial registrations
- Annual corporate compliance including annual resolutions, dividends, bonuses, redemptions and annual return filings.
- Conduct various corporate searches and filings.
- Review of corporate minute books, including detailed minute book review report and preparation of documents rectifying deficiencies.
- Assist with all stages of corporate transactions and tax-driven corporate reorganizations, including, completion of due diligence searches, closing agendas, agreements, resolutions closing documentation, filings, etc.
- Maintain and update corporate records, including entering corporate information into legal software and creating/uploading digital minute books.
- Consult with clients, accountants, government registries and external service providers.
- Track filing deadlines and ensure ongoing corporate compliance.
- Work collaboratively with internal teams and individuals to support practice-related functions in the delivery of legal services.
**Qualifications**
- 5 to 10 years of experience as a corporate law clerk (law firm background preferred).
- Law Clerk diploma from an accredited institution, Associate Program Certificate issued by The Institute of Law Clerks of Ontario or equivalent education.
- Proficiency with Microsoft Office, corporate registry systems and legal/accounting software (firsthand knowledge with Ontario Business Registry and Appara are considered an asset).
- Strong knowledge of corporate statutes, regulations, and procedures.
- Highly detailed-oriented and excellent organizational skills.
- Exceptional written and verbal communication skills.
- Ability to manage multiple files and deadlines in a fast-paced environment.
- A proactive, team-oriented mindset with a high level of professionalism.
Pay: $55,000.00-$75,000.00 per year
