Now Hiring - Relationship Manager, Corporate Actions, TSX Trust

The Relationship Manager, Corporate Actions’ overall key responsibilities are to: a) act as TSX Trust’s (“TSXT’s”) Corporate Actions expert and assist client, lawyers, underwriters, holders, and others in the investment community in completing a successful corporate reorganization transaction with the least risk and impediment but with the most value to the corporation and its stakeholders, and b) to liaise with the TSX Trust Corporate Actions operations senior team members to assist in the coordination of the implementation of the transaction.

**Key accountabilities**:
Manage Corporate Action Events

Liaise with clients, lawyers, the financial community, and internal Issuer Services and Corporate Trust teams, in a consultative role regarding up-coming, active, or ongoing projects.

Assume primary responsibility for reviewing corporate action documents and agreements.

Prepare fee proposals specific to each Corporate Action transaction

Provide information to corporate clients, their legal counsel and underwriters and assist them in preparing security holder materials for a corporate action event.

Present potential Corporate Action business to the New Business Approval Committee and ensure completion of required AML / KYC and other New Business Committee requirements

Manage the onboarding of all Corporate Action events and the end to end process for all Warrant and Subscription Receipt transactions

Coordinate the internal activities required to fulfill each specific transaction

Act in an advisory capacity to various teams within the organization to ensure all affected departments understand their obligations under each specific Corporate Action, where applicable

Ensure compliance with policies, procedures and regulatory requirements.

Ensure complete and accurate billing of completed Corporate Action events

Maintain a shared log containing details and status of upcoming and ongoing Corporate Action events.

Process Oversight and Improvement

Identify productivity and procedural improvements that will result in improved client experience and/or cost savings.

Provide statistical and management reports, as required.

Contribute to completion of Risk & Control Self-Assessment (“RCSA”) for the department, on as needed basis.

Participate in maintenance of the Business Continuity Plan for the department

Participate in review & update of department Policy and Procedure Manual, as applicable.

Along with Risk and Compliance, take an active role in identifying, monitoring, managing and reporting on risk and compliance related matters within the business unit and fulfilling the requirements of the Designated Risk Officer (“DRO”) and Designated Compliance Officer (“DCO”) mandates.

**Must Have**:
College diploma or university degree, or equivalent experience.

5 to 7 years’ experience in a similar role.

Proficient in Microsoft Office and Google Suite.

Excellent written, verbal and listening skills.

Strong decision making and problem solving skills.

Experience building successful internal/external relationships.

Show discretion and ability to handle confidential issues.

A good working knowledge of the securities industry and capital markets.

**Nice to have**:
Canadian Securities Course, an asset.

Financial services industry experience is an asset.

Bilingual in French and English, an asset.

Ability to work with senior officers of corporations and senior members of the legal community, and possess a strong desire to develop and maintain positive client and influencer relationships.

Read and analyze documents.

Ability to organize and prioritize tasks.
