Guided by our mission to create value for customers, partners, visitors, and the community, we strive to be the East Coast gateway of choice for global trade, transportation, and tourism._ - The port has innovated and invested in infrastructure to expand cargo capacity, generate jobs, and provide businesses with critical access to global markets, while welcoming visitors and the community to the Halifax waterfront._ Reporting to the President and CEO, serving as a member of the Executive Leadership Team, and leading a team of three, the** General Counsel & Corporate Secretary** provides comprehensive internal legal services, including strategic legal advice in all areas of the law impacting the organization. This role also oversees corporate governance and ensures compliance with legislative and regulatory requirements, as well as applicable policies and procedures. **Your responsibilities**: - Provide strategic legal advice on all aspects of HPA operations, including in areas of corporate, commercial, contract, employment, labour, transportation and administrative law. - Support the CEO, the Board of Directors and its committees, including by preparing agendas, ensuring the quality and timely submission of board papers, minute taking and record keeping. - Ensure compliance with laws and regulations, while monitoring legislative, regulatory and policy developments potentially impacting the organization. - Manage relationships with external counsel as necessary, including providing litigation support. - Oversee the Enterprise Risk Management (ERM) system and provide support in the development of organization wide policies, including the implementation of internal and external audit recommendations. - Oversee access to information requests, and the establishment, management, and maintenance of records keeping system for the HPA which meets operational, policy and legislative requirements. - 15+ years of legal practice and progressive senior leadership experience, with a diversified background on legal matters including corporate commercial, governance, employment and labour law, compliance, contracts, and risk management. - Renowned for your ability to foster alignment, you skillfully manage relationships to build consensus and drive collaborative solutions around even the most multifaceted challenges. - Adept at navigating and managing personalities, mediating conflicts, and handling sensitive situations with tact and diplomacy. - Proficiency in French would be considered an asset. - L’Administration portuaire d’Halifax (APH) supervise le port d’Halifax, un port maritime de premier plan en Nouvelle-Écosse, réputé pour être la « porte d’entrée de l’Amérique du Nord ».
