- Our client, a global corporation, is adding to its team. They are in need of a Senior Law Clerk to join its legal team. This role will work with company counsel, the corporate secretary and other law clerks in corporate, securities and corporate governance matters.
**Responsibilities**:
- Managing corporate records, including maintenance of minute books and the corporate entity database-
- Preparing documents for formation and dissolution of entities-
- Filing annual returns filings in Canada and U.S. and drafting minutes/resolutions-
- Preparing organizational resolutions, bylaws, LLC operating agreements and other constating documents-
- Performing various corporate searches and corporate on-line registrations-
- Preparing and completing Canadian securities regulatory filings for public companies on SEDAR, EDGAR and TSX, including with respect to Insider Reporting obligations-
- Drafting and/or reviewing legal documents and resolutions and assisting with diligence to support acquisitions, dispositions, financings, and corporate and restructuring matters-
- Liaise with internal legal counsel and outside counsel and other internal functional groups-
- Preparing officer certificates and notarial certificates-
- Documenting flows of funds, including capital contributions, dividends, returns of capital and distributions; transfers of interests; changes to director and officer slates; special approvals; and maintaining organization charts-
- Assisting with preparation of public/private company Board and Committee meeting materials, including the preparation of notices, agendas and resolutions-
- Assisting with corporate disclosure, compliance activities and regulatory filings-
- Assisting treasury teams with bank account opening and KYC requests and requirements-
- Supporting compliance activities, including assisting with periodic reporting materials and filings-
- Assisting with implementation of legal policies, processes and standards, and documenting related compliance process maps-
- Maintaining entity lists and organizational structure charts and co-ordinating quarterly with various business groups and operating companies for updates; and preparing quarterly entity list submissions-
- Manage Diligent entities database and CSC portal-
- Assisting with preparation of annual disclosures, including Management Information Circulars, Annual Reports, and Annual Information Forms- Requirements:
- Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario (or qualifying legal experience with an outstanding performance record)-
- 8-10 years of experience as a corporate law clerk. Experience in a law firm or in-house legal department of large public company an asset-
- Comfortable with SEDI, SEDAR, EDGAR and TSX filings-
- Familiar with various Canadian and provincial corporate registry on-line and paper filings and searches and U.S. Secretary of State business entity searches and filings-
- Professionalism and ability to take accountability for providing timely and accurate responses to inquiries from internal and external stakeholders-
- Able to work well under pressure, to manage multiple tasks and take ownership in supporting the team-
- Excellent interpersonal skills and ability to work independently with mínimal supervision, as well as in a group alongside all levels and departments of the organization-
- Excellent communication (verbal and written) and organizational skills-
- MS Word, Excel, PowerPoint, Visio, iManage and corporate legal records software/database- This is an opportunity to join an outstanding organization that values its employees
