**Overview**

ProntoForms General Counsel will be a trusted advisor who is customer service oriented, has an eagerness to tackle a wide range of legal and business issues and the ability to balance legal risks with business objectives. The role will primarily be responsible for leading commercial legal activities including timely and accurate contract reviews, intellectual property protection, compliance, up keeping policies to best standards and other business-related matters.

**Key Responsibilities**
- Commercial Transactions: Lead in all areas during the sales and vendor negotiation processes, draft and review contracts (SaaS, Professional Services, NDAs, Reseller), maintain templates and advise in relation to contractual obligations and liabilities.
- Employment: Maintain hiring, termination and compensation-related templates and policies
- Intellectual Property: Provide as needed support for inquiries, including registrations, infringements and risk management; review in-bound contractual and licensing agreements relating to the acquisition of IP
- Dispute Resolution and Litigation: Provide settlement and litigation avoidance guidance, manage all aspects of pre-suit and litigated matters in all areas of law (including commercial and employment)
- Privacy Officer: Provide support on behalf of ProntoForms in the capacity of Privacy Officer
- Identify items in need of process improvement and action same
- Provide other ongoing legal support to the business

**Skills and Qualifications**
- Member in Good Standing with the Law Society of Ontario
- Relevant experience as a lawyer, including prior work in an in-house capacity (preferably within the context of a publicly traded company.
- Advanced knowledge of SaaS trends and best practices
- Excellent attention to detail, ability to work independently as well as part of a team and strong organizational skills
- Exceptional analytical, collaboration and written/verbal communication skills
- Ability to evaluate risk, confidently identify issues and manage competing priorities
