General Counsel

**Responsibilities**:
- Provide legal guidance and counsel to the executive team and other departments within the organization on a wide range of legal matters, including commercial contracts, corporate governance, intellectual property, employment law, regulatory compliance, and litigation.
- Assess potential legal risks and develop proactive strategies to mitigate them, ensuring compliance with applicable laws, regulations, and industry standards.
- Advise on strategic contracts, conducting due diligence, drafting, and negotiating agreements, and overseeing the legal aspects of the deal process.
- Develop and implement company policies and procedures to ensure legal compliance and minimize risks.
- Stay abreast of legal developments, industry trends, and changes in relevant laws and regulations, providing timely updates and recommendations to the executive team and stakeholders to inform decisions an
- Advise on matters related to ethics, compliance, and corporate governance.
- Train and educate employees on legal matters, policies, and best practices to promote a culture of legal compliance and risk awareness.
- Oversee the management of legal disputes and litigation, including working with external counsel and representing the company's interests in negotiations,
- Collaborate with external legal counsel, managing relationships and ensuring effective and efficient delivery of legal services.
- Manage and oversee the legal budget, including external legal expenses and cost-effective allocation of resources.
- Maintains the legal document repository.
Skills and Experience:
- Juris Doctor (J.D.) degree from an accredited law school and admission to the bar association in the relevant jurisdiction.
- A minimum of 10 years of experience practicing law, preferably with a focus on corporate or commercial law.
- Proven experience as a General Counsel or in a senior legal leadership role within a complex organization.
- In-depth knowledge of corporate law, contract law, intellectual property, employment law, regulatory compliance, and other relevant areas of law.
- Strong business acumen and the ability to understand and align legal strategy with overall business objectives.
- Excellent analytical, problem-solving, and decision-making skills, with the ability to assess legal risks and provide practical solutions.
- Outstanding communication and interpersonal skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
- Demonstrated ability to work collaboratively in a team environment, manage multiple priorities, and meet deadlines.
- Experience managing external legal counsel and other legal service providers.
- High ethical standards, integrity, and a commitment to maintaining confidentiality.
- Knowledge of the [industry-specific regulations or standards] is a plus.
- Willing to roll up one’s sleeves and get the job done.
- Ability to maintain up to Top Secret Clearance.
