SAY is an anti-oppressive startup nonprofit run by two second generation Queer South Asian women. SAY aims to create a space for second-generation brown girls to build fearless, authentic, and creatives lives by breaking generational cycles of brown girl trauma, healing the inner child through edu and art.

**Position Overview**

This is a VOLUNTARY position. Board secretary manages official documentation, records minutes during board meetings, and maintains proper communication channels.
- **Meeting Coordination**: Schedule board meetings, ensuring all necessary parties are informed of the date, time, and location (in-person or virtual); Prepare and distribute meeting agendas, minutes, and relevant documents in a timely manner.
- **Record-Keeping and Documentation**: Take accurate and comprehensive minutes during board meetings, recording discussions, decisions, and action items; Maintain an organized record of meeting minutes, resolutions, bylaws, and other official documents.
- **Board Governance Support**: Assist in the orientation and onboarding of new board members, providing them with necessary documents and information about board policies and procedures; Support the board in adhering to governance best practices and compliance with legal and regulatory requirements.
- **Membership and Board Elections**: Maintain accurate records of board member terms, attendance, and any changes in board composition; Coordinate board elections, including issuing nomination forms, collecting and verifying nominations, and organizing the voting process.
- **Legal Compliance**: Ensure compliance with applicable laws, regulations, and internal policies regarding board operations, meetings, and decision-making processes; Maintain up-to-date knowledge of legal requirements and make recommendations for any necessary revisions to bylaws or governance practices.
- **Confidentiality and Ethics**: Uphold confidentiality and handle sensitive information with utmost discretion; Adhere to ethical standards and promote transparency and integrity within the board.
- **Support Board Chair and Executive Team**: Assist the Board Chair in preparing board meeting materials and reports; Collaborate with the Executive Team on strategic initiatives, ensuring effective coordination between the board and organizational leadership.
- **Continual Improvement**: Participate in professional development opportunities to enhance knowledge and skills related to board governance, meeting management, and record-keeping.
