As Brock Solutions continues to grow and respond to the on-going requirements of major clients, we need to add talent to our base of outstanding professionals. To that end, we have an immediate opening for an Articling Student to join our team of experienced professionals located at our head office in Kitchener, ON or remotely (anywhere in Canada).

Job Responsibilities:
Under the supervision of our General Counsel:

- Participates in RFP and proposal reviews and approvals
- preforms contract/subcontract/SOW/DPA reviews, negotiates and drafts contracts/subcontracts/SOWs/DPAs and interfaces with customer and vendor contracting personnel
- Works with project management, sales, finance, and procurement teams as well as the legal department to manage and structure contracts
- Analyzes contracts to ensure compliance with company policy, government specifications and other requirements
- Conduct legal research and draft memoranda and other legal opinions
- Perform other duties as assigned

Qualifications Required:

- An LLB or J.D law degree from a recognized law school
- Completion of prerequisites to participate in the Law Society of Ontario's Articling Program
- A quick and efficient learner with strong forensic attention to detail
- Excellent written and verbal communication skills (English)
- Demonstrate the ability to think innovatively and creatively
- Strong organizational and prioritization skills
- Strong sense of character, honesty, and teamwork

**Nice to Haves**:

- Experience in addressing contractual issues in cloud, data security, privacy, and intellectual property matters
- Experience with SaaS, cloud computing, and software sales
- Experience with construction or public sector contracts
