**JOB SUMMARY**:
The Legal Counsel, Commercial, will assist with the day-to-day management of the legal affairs of D2L and its subsidiaries. Among other tasks, this role will have a particular emphasis on commercial contracting.

This is a significant opportunity for a mid-level lawyer to gain in-house experience with a rapidly growing technology company. The position is part of a collaborative, team-based approach to corporate legal services.

**HOW WILL I MAKE AN IMPACT?**
- Draft, review and negotiate a broad range of corporate/commercial agreements and related documents, including client (SaaS and professional services), alliance and channel partnership, resellers, vendor, non-disclosure, licence and other similar agreements
- Provide business acumen to the design of long-term contractual arrangements and deal structures
- Assist with RFPs and procurement efforts
- Provide timely and actionable legal advice on marketing materials
- Work with employees and external counsel on intellectual property related matters, as may be required from time to time
- Assist with providing legal advice regarding privacy compliance requirements in countries where D2L does business, and opportunities for improvement of privacy policies
- Support the continuous improvement of legal and business processes to promote efficiency
- Assist in providing internal training sessions across different functional areas on legal and compliance issues and updates to relevant legislation and regulations
- Any other tasks as assigned from time to time

**WHAT YOU'LL BRING TO THE ROLE**:

- 3+ years of law practice, preferably at a top law firm and/or in-house experience
- Excellent analytic, legal drafting, oral and written communication skills
- Licensed to practice in Canada or a U.S. state (required). License to practice in another jurisdiction (for example, England, Australia, Brazil) also relevant
- Experience in IP, privacy and/or compliance practice an asset
- Ability to work independently and with cross functional teams

**EDUCATION RECOMMENDATIONS**:

- LL.B/J.D.
- Excellent academic credentials
