Des Nedhe Management is the one over-arching management company that is wholly owned by ERFN, which in turn owns and oversees all Des Nedhe’s Group business enterprises. The independent board of directors is made up of business experts, some who are ERFN Members. Within the strategic direction and guidelines set out by ERFN Band Council and the DNG Board, DNG operates without interference from ERFN Council, ERFN Administration or ERFN Members.

**Reports To**: Chairman of the Board.

**Job Summary**:As a Board and committee member you’ll work alongside a diverse group of professionals performing a crucial role in financial stewardship and risk management. You’ll help ensure compliance with accounting standards and the integrity of our financial reporting processes.

**RESPONSIBILITIES**:

- Attending and actively participating in quarterly board meetings.
- Review and make recommendations regarding:
- Annual business plans and budgets
- External audits and annual report
- Financial reporting, accounting policies and disclosures
- Corporate compliance, internal controls and risk management
- Provide expert guidance to the board on risk management strategies. Assisting the board in its oversight of management's responsibility for identifying, assessing, and mitigating key risks.
- Ensuring the organization complies with relevant laws, regulations, and ethical standards.
- Providing input and guidance on the development of policies related to risk management, financial reporting, and internal controls
- Provide ongoing strategic direction, collaborating on the development of long-term strategic plans.
- Monitor performance and compliance with the Business Charter.
- Participate in annual dividend decisions.
- Communicating Reporting of DNG’s business activities to ERFN Band Council and members.
- Review and assist with communicating business operational and financial reports presented to Band Council in a timely manner.
- Attending various events.

**QUALIFICIATIONS**:

- Bachelor’s degree in accounting, Finance or related field.
- Prior audit committee experience.
- Previous experience as a committee chair or Board Member.
- Professional accreditation such as Chartered Professional accountant (CPA), would be an asset.

**SKILLS**
- Strong ethical standards and high levels of integrity.
- At least ten (10) years’ experience in accounting or finance.
- Excellent written, verbal, and interpersonal skills
- Be accountable and extremely organized.
- Character that is reliable, open, considerate, trusting and accommodating.
