Job Description

We are looking for an enthusiastic, reliable, professional individual to join our Policies & Governance team as a Governance Analyst. The Governance Analyst plays an integral role within the Policy & Governance Team, with primary responsibilities focused on supporting the AESO’s Corporate Secretary. The Governance Analyst ensures corporate readiness for Board and Committee meetings, attends all Board and Committee meetings, takes official minutes, maintains Board records, and develops, enhances, and maintains governance processes, tools, and technologies related to the Board governance.

In addition, the Governance Analyst supports the development of corporate policies and secondary governance documents (SGDs) in accordance with the Policy Management Policy (“PMP”) and assists with the development and implementation of the AESO’s Code of Conduct and related compliance processes.

The Governance Analyst reports directly to the Manager, Policy & Governance, and works closely with the Vice President, Law, General Councel and Corporate Secretary, other members of the Executive, Executive Assistants, and members of AESO Management to facilitate the effective functioning of the Board.

Accountabilities:
Board and Corporate Secretary Support Duties:
- Support the preparation of Board and Committee materials- Attend Board and Committee meetings, record minutes, and track action items- Manage Board document repositories (SharePoint), access controls, and user support- Maintain Board records in compliance with internal policies and regulatory requirements- Research and recommend improvements to governance practices and documents- Coordinate updates to governance documents, including charters, position descriptions, and bylaws- Support Board Member onboarding, education, offboarding, and the annual evaluation process- Prepare Board-related filings for the Government of Alberta and other corporate disclosures- Maintain governance content on the AESO website

Policy Management Support Duties:
- Assist with the development and update of corporate policies and SGDs, including conducting research to ensure these documents are informed by evidence and best practices.- Assist with the development of policy management tools, templates, schedules and training materials.- Support the implementation of the AESO’s Code of Conduct, including training, conflict of interest screenings and mitigation actions, maintaining confidential records, and other related activities as needed.

What you’ll bring to us:
- Bachelor’s degree in policy studies, public administration, management, communications, or a related field. Equivalencies of education and experience may be considered.- Governance Professionals of Canada designation is an asset.- A minimum of five (5) years of relevant work experience in governance, corporate secretariat or in providing advice and support to a Board.- High level of competence in the Microsoft office suite, including SharePoint Online, as well as Adobe and Diligent.- In-depth understanding of corporate governance frameworks in general and, ideally, within a government agency context- Excellent plain-language written and verbal communication skills with the ability to communicate effectively with Board Members, Executives, and internal and exte
