The **Houston **office has an excellent opportunity for a **Legal Secretary** experienced in corporate, securities, transactional, real estate and litigation. The responsibilities encompass performing a variety of secretarial duties and practice support tasks, including:
- Delivers excellent work and superior service to the Firm’s clients; contributes to the Firm’s reputation for excellence by providing highly efficient and effective secretarial and administrative support to a legal team consisting of three or more attorneys.
- Assist attorneys in meeting client-service support demands, including providing telephone support (answering questions and otherwise being helpful to callers), performing administrative tasks as requested and as usual in relation to task, performing document production and other related tasks.
- Administrative support includes conflicts checks, opening new matters through NBI transcribing dictation, maintaining multiple attorney calendars, coordinating travel arrangements, entering attorney time, billing (InTapp), preparing expense reports, organizing and coordinating meetings and conferences.
- Uses word processing and document management software (Microsoft Office 2016, including PowerPoint & Excel, Workshare Compare, Adobe, DMS, etc.) to prepare and revise, format and finalize a wide variety of documents, including correspondence, memoranda, and legal materials. In conjunction with the preparation of such documents, the secretary is responsible for proofreading, correctly formatting and questioning any inconsistencies in all materials.
- Drafting, editing, redlining and proofreading complex practice-specific legal documents, forms, and correspondence relating to Corporate Governance, Securities Offerings and Compliance, and Mergers and Acquisitions, such as Form 10-Ks, Form 10-Qs, proxy statements, annual reports, press releases, offering memoranda, board resolutions, consents, opinions, HSR forms, purchase and sale agreements, partnership agreements, bylaws, employment agreements, separation agreements, engagement letters.
- Preparing closing binders for corporate transactions and assisting with post-closing matters.
- E-Filing in both State and Federal Courts, a Notary Public is a plus.
- Research and recording real property documents with various county clerks.
- File documents, order certificates and perform searches with the Texas Secretary of State and other states, and also work with various corporate service agencies (e.g. Capitol Services, CT Corp.) on entity filings in all states.
- Provides assistance to other Secretaries within assigned teams whenever necessary to meet Firm and client needs; organizes and prioritizes workload for maximum efficiency and facilitation of Firm and client goals. Fosters professional, cooperative and supportive relationships with peers, superiors and clients. Anticipates and identifies clients’/colleagues’ current and future needs. Shares information and offers ideas and solutions in a team environment.
- Communicates with attorneys and assists in balancing the team’s workload to ensure completion of projects within established time frames and quality standards; seeks guidance from the HR Manager/Office Administrator when workload demands and deadlines dictate.
- Maintaining effective filing system.
- Perform other duties as assigned.
**Requirements**:
- Minimum of 5 years of law firm experience required, supporting a minimum of 5 attorneys.
- Advanced skills in Word (using styles, track changes and document comparison programs); proficient in Excel and PowerPoint; Advanced skills with Outlook, Adobe Acrobat.
- Software knowledge in NetDocs or other document management systems, DocX Tools, Elite 3E, and InTapp or other time entry systems.
- Fundamental knowledge of legal terminology.
- Initiative and willingness to be a team player are important assets for this busy desk.
- Ability to provide a high level of customer service and be able to clearly and effectively communicate both verbally and in writing.
- Requires creativity and the ability to think innovatively and exercise independent judgment when necessary.
