**_ Senior Paralegal - Global Transactions and Investments_**

**Role Description**:
This role will be primarily focused on providing paralegal support in connection with Canada Life’s investment and M&A transactions, together with related corporate governance, including:

- Managing and co-ordinating transaction due diligence among relevant functional areas for private debt, private equity and real estate transactions, including NDA review.
- Manage the funding process and drafting of related template documentation for private debt, private equity and real estate transactions.
- Managing and assisting with mergers and acquisition transaction due diligence, including tracking diligence process, maintain related records, review various diligence materials (including searches and minutes books) and NDA review.
- Assisting with new strategic initiatives on an ad hoc or ongoing basis with relevant lawyers as team leads.
- Preparing and filing entity formation documentation together with relevant registrations and filings, as well as liaising with external counsel and Corporate Secretarial teams on the same.
- Managing the corporate governance of various Canada Life affiliates, including the drafting, execution and filing of resolutions, meeting minutes and other governance material and working with Corporate Secretarial teams on the same.
- Coordinating internal regulatory inquiries, maintain repository of corporate information and prepare responses to external information requests.

Given the broad scope of the business carried out by Canada Life’s Global Transactions team the position will also involve providing support for other types of transactions, corporate governance and related matters.

**What you will bring**
- Post-secondary legal diploma or combination of education;
- Minimum 10 years relevant transaction and corporate governance experience;
- Ability to independently manage own workload with well-developed organizational and time management skills to handle a challenging workload;
- A strong, commercially pragmatic sense of judgment to assess and adapt to changing and competing priorities;
- Superior written and verbal communication skills, adaptable to a broad range of audiences, including senior business executives;
- Strong, versatile and concise commercial drafting skills, including the ability to draft corporate governance documentation, contracts and reports;
- Strong technical skills (MS Word, Excel, Outlook, Adobe Pro). Exposure to matter management and document management software would be an asset;
- Strong interpersonal skills and a demonstrated ability to work effectively both independently and collaboratively in a team environment.
