We are seeking a highly skilled General Counsel Canada to join our team.
Job Summary
As a General Counsel Canada, you will provide day-to-day legal advice to our business units in Canada. You will conduct thorough legal research and analysis on various corporate law issues, including mergers and acquisitions, ESG reports, NDA's, corporate governance, securities, and regulatory compliance.
You will ensure that our activities in Canada are conducted in accordance with applicable local laws, company policies, good governance, and business practices.
About the Role
Key Responsibilities:
- Provide day-to-day legal advice to business units in Canada.
- Conduct thorough legal research and analysis on various corporate law issues.
- Ensure compliance with local laws, company policies, and good governance practices.
- Prepare, review, and negotiate corporate documents, including contracts and shareholder agreements.
- Provide legal advice and support to internal stakeholders on corporate and labor relations law matters.
- Assist in the execution of corporate transactions, including due diligence and drafting transaction documents.
Requirements
- Minimum a Bachelor's degree in law in Canada.
- A member of the Quebec Bar, and ideally the Ontario Bar.
- At least 5 years of relevant experience, preferably with a corporate and business law firm and/or a Canadian publicly-traded or international company.
- Fluently bilingual in French and English required.
- Excellent interpersonal and client-facing skills, with the ability to build and maintain strong relationships.
