Senior Corporate Counsel

We are seeking a highly skilled Senior Corporate Counsel to join our team. The successful candidate will provide legal support to our portfolio companies, working closely with senior management to navigate complex legal, regulatory, and business matters.
Salary and BenefitsThe estimated annual salary for this position is approximately $120,000-$180,000, commensurate with experience and qualifications. Job DescriptionThe Senior Corporate Counsel will be responsible for providing negotiation and drafting support for commercial contracts, including NDAs, license agreements, SaaS agreements, professional service agreements, and data processing agreements. This role will also involve managing the negotiation process for portfolio companies, adhering to corporate standards and protocol, and providing legal support and guidance on data security and privacy matters.
Key Responsibilities- Support portfolio companies on a wide range of legal, regulatory, and business matters, working closely with senior management.
- Provide negotiation and drafting support for commercial contracts, ensuring compliance with corporate standards and protocol.
- Manage the negotiation process for portfolio companies, facilitating preparation and execution of contracts.
- Provide legal support and guidance on data security and privacy matters, coordinating with the Perseus head office legal and privacy teams.
- Support portfolio companies' various go-to-market endeavors and initiatives, advising on commercial matters and compliance activities.
- Engage in due diligence processes for acquisitions, participating in the drafting and negotiation of definitive agreements.
- Manage transition of new portfolio companies onto Perseus-standard contracts and processes during integration.
- Support the legal team's continuous improvement efforts, developing and refining playbooks, policies, templates, and processes for portfolio companies.
To be successful in this role, you will have:
- A Juris Doctor (J.D.) degree or equivalent.
- At least 5 years of experience in corporate law, with a focus on mergers and acquisitions and contract negotiations.
- Strong understanding of data security and privacy laws and regulations.
- Excellent communication and negotiation skills, with the ability to work effectively with cross-functional teams.
- Experience with contract management software and tools.
